Michelle advises companies throughout their lifecycle, including at formation, on matters concerning corporate and securities law, fundraises, scaling and corporate governance. In addition to representing companies and entrepreneurs, Michelle advises investors on strategies to maximize the impact of their investments and represents funds in connection with their investments in private companies.
Before practicing law and joining Orrick, Michelle managed grant programs at an impact investment fund manager focused on microfinance and sustainable agriculture in emerging markets.

Emily advises high growth technology companies in general formation, venture capital and private equity financings, and corporate governance. In addition to advising companies, Emily represents investor firms in connection with their investments in private companies.
Emily received her JD from the University of Washington, where she was a member of the Technology Law and Public Policy clinical program and served as Editor-in-Chief of the Washington Journal of Law, Technology & Arts.
Prior to joining Orrick, Emily worked as a musician. She has released several recording projects, including an LP with Refresh Records.

Her unique skill set and business-driven approach derive from her decades-long career as a Silicon Valley lawyer and her broad experiences earlier in her career as both a successful litigator and business owner.
Over her career, Ellen has represented both private and public companies and has worked with both small startups and large multinational enterprises, as well as the executives, investors and advisors involved in those businesses. As a result, Ellen draws upon a deep knowledge base and set of experiences and insights that allow her to offer practical and seasoned advice to her clients. Ellen also works closely with some of the leading venture capital and growth equity firms, whose principals she advises in connection with financings, equity structuring and corporate governance. Ellen’s company clients have represented a broad swath of the technology ecosystem, including both hardware and software, and, as a result, her industry experience is wide-ranging. Prior to joining Orrick, Andrew served as a legislative adviser to Congress, a lobbyist for the University of Illinois, and a tax fellow for Deloitte advising companies on Sarbanes-Oxley tax compliance and building internal control systems.
