She also advises clients on New York and Delaware corporate, partnership, limited liability company, and non-profit law, including corporate governance and fiduciary duty matters.
Prior to joining Orrick, she was an Antitrust Associate at Davis Polk and a Litigation Associate at Sullivan & Cromwell.

Emily focuses her practice on advising clients on a wide range of real estate finance matters, including commercial mortgage-backed securities, acquisitions, dispositions, and refinancing transactions. Her expertise extends to negotiating and drafting loan agreements, purchase and sale agreements, conducting due diligence, and ensuring compliance with local regulatory requirements. In addition to her work in the Real Estate Finance Group, Emily has also collaborated with Orrick’s Energy and Infrastructure team to help them navigate the real estate issues for solar and battery developments.
Emily is a graduate of the University of Washington School of Law and was previously a summer associate at Orrick.

Prior to joining Orrick, Jenna was a restructuring associate at another nationally-recognized law firm and served as a law clerk to the Honorable Michael E. Wiles in the United States Bankruptcy Court for the Southern District of New York. Before becoming a lawyer, Jenna was an analyst at an international financial services firm.

Joanna’s practice focuses on a variety of asset-backed classes, including credit and charge card receivables, and consumer loans. She regularly works with fintech companies assisting these clients with their financing needs.
Among her experience, Joanna represents issuers, sponsors and underwriters in connection with public offerings and private placements of asset-backed securities. She also has experience with transactions relating to the sale and financing of residential mortgage loans, including residential mortgage-backed securitizations, repurchase facilities and servicer advance facilities.
Prior to joining the firm, Joanna worked as an associate at a municipal law firm and represented public agencies in litigation and public finance matters.
