Devin represents issuer, underwriter and private sponsor clients in transportation, water, wastewater, public power, pollution control and other large infrastructure financings.

Such transactions have involved both long- and short-term, fixed and variable rate obligations, public-private partnerships (P3s), commercial paper, swaps, credit and liquidity enhancement, and revenue bonds for transportation and utility issuers, as well as a number of sizable special purpose financings. Devin has also represented multiple clients in connection with chapter 9 bankruptcies, restructurings and other workouts.

Devin is a partner in Orrick’s San Francisco office and chairs the Firm’s Transportation Finance Group. Devin has served on the Hiring and Summer Program Committees in the San Francisco office, and helps organize the firm's annual summer surf trip to Capitola Beach. Devin is a past Chair of the Bond Buyer's California Public Finance Conference, and is currently a member of the Strategy Council for OneJustice, an organization dedicated to transforming the delivery of legal services to Californians in need.

  • Representative transactions have included:

    • California Pollution Control Financing Authority. Financing of an approximately 54 million gallon per day reverse osmosis desalination plant and related pipeline in Carlsbad, California through a public-private partnership between the San Diego County Water Authority and Poseidon Resources (Channelside) L.P., a transaction named “North American Water Deal of the Year” by Project Finance Magazine and “Deal of the Year, Far West Region” by The Bond Buyer.     • Riverside County Transportation Commission. $1.2 billion financing of the SR-91 Corridor Improvement Project, including the issuance of sales tax revenue bonds and toll revenue bonds and a Transportation Infrastructure Finance and Innovation Act (TIFIA) loan. (Bond Counsel)
    • Public Utilities Commission of the City and County of San Francisco. Issuance of multiple series of Power Revenue Bonds, Water Revenue Bonds and Wastewater Revenue Bonds. (Bond and Disclosure Counsel)
    • Bay Area Toll Authority. Bond counsel in connection with issuances, refundings, amendments and conversions of toll revenue bonds aggregating more than $8 billion, in more than 30 series and subseries, with multiple credit and liquidity facility providers, to fund construction and improvement of seven state-owned toll bridges, including the San Francisco-Oakland Bay Bridge.     • Tuolumne Wind Project Authority. Financing TWPA’s acquisition of a 136 megawatt wind farm. (Bond and Disclosure Counsel)
    • Bay Area Water Supply and Conservation Agency. Structured and prepared disclosure for the inaugural issuance of BAWSCA's bonds. (Bond and Disclosure Counsel)
    • City of San Jose Airport. Issuance of Airport Revenue Bonds and negotiation of commercial paper credit facilities. (Bond and Disclosure Counsel)
    • Chapter 9 bankruptcy. Counsel to multiple clients in connection with restructurings, workouts and chapter 9 bankruptcies.
    • California Statewide Communities Development Authority. Issuance of $1.895 billion of revenue bonds secured by Proposition 1A receivables sold to CSCDA by more than 1200 California local agency participants. (Bond Counsel)
    • California Alternative Energy and Advanced Transportation Financing Authority. Issuance of Clean Renewable Energy Bonds, the proceeds of which funded the installation of solar panels at 70 Caltrans facilities. (Bond Counsel)
    • City of Chula Vista. Termination of municipal bond insurance policies securing payment of its industrial development revenue bonds, the proceeds of which had been loaned to San Diego Gas & Electric Company. (Bond Counsel)
