Mike was Orrick's Securities Litigation practice leader from 2004 to 2012.

He has the unique ability to look at corporate governance problems from a business perspective, to carefully navigate or avoid collateral consequences, and strategically win legal problems. He is frequently recognized for his exemplary work by Chambers, Super Lawyers and The Daily Journal.

Mike focuses on litigation involving the Private Securities Litigation Reform Act of 1995, The Securities Act of 1933, the Securities Act of 1934, the Uniform Standards Act and proceedings initiated by the Securities Exchange Commission, the National Association of Securities Dealers and other self-regulatory organizations.

Hari represents private equity firms and public, private, emerging and late-stage technology companies in a variety of domestic and international transactions. His experience spans the range of M&A activity, including cross-border deals, SPAC transactions, majority/minority investments, restructurings and general corporate matters. He works closely with serial acquirers implementing their buy-side M&A strategies, and with venture-backed companies, founders and investors in M&A exits and other liquidity transactions.

Hari has extensive experience leading companies in core technology markets through all aspects of the M&A process. He understands the unique issues, deal terms and trends at play in technology M&A, allowing him to optimize for efficiency, transaction execution and results for his clients.

His broad experience ranges from “stranded cost” securitization financings for investor-owned electric utilities to tax-exempt financings for utilities owned by investor-owned companies, nonprofit corporations, states, local governments and federal power marketing agencies.

Dean has advised Bonneville Power Administration in connection with its efforts to refinance and extend the maturities of a portfolio of approximately $6 billion of tax-exempt and taxable notes and bonds issued for its benefit by Energy Northwest (formerly known as Washington Public Power Supply System).

In his municipal finance practice, John has served as bond counsel, special tax counsel and underwriter’s counsel for a variety of transactions, including particularly governmental, airport, and public power financings. John has represented issuers and borrowers before the Internal Revenue Service in connection with audits, private letter rulings, and requests pursuant to the voluntary closing agreement program (VCAP). 

John has worked with issuers to establish post-issuance compliance programs tailored to their specific financings, and also has significant experience with tax-exempt commercial paper programs for both governmental and exempt facilities.  John is a regular speaker at various conferences focused on public finance and tax, including conferences organized by the National Association of Bond Lawyers, the American Bar Association Tax Section, and the California Bond Buyer Conference.  John is serving as Chair of the National Association of Bond Lawyers' "The Institute" conference in 2024.

As a Senior Associate in Orrick’s Technology Companies Group, Andrew leverages his experience as a general counsel, operator and investor to guide clients through all stages from startup to exit. He is a trusted advisor on board governance, venture capital transactions, general employment and commercial matters, conflict resolution, mergers & acquisitions and public offerings. Andrew also counsels venture funds in structuring deals and assists them in identifying and managing the various risks associated with their investments.

 
Prior to re-joining Orrick in 2022, Andrew was employee number 2 at a venture-backed food technology/CPG startup where, in addition to acting as General Counsel, he established the finance, accounting, HR and operations management functions of the company and served on the executive management team responsible for defining and executing the company’s strategic initiatives.


Andrew began his legal career as an associate with Orrick’s Technology Companies Group in 2016 and is the recipient of the Firm’s 2019 Alan Talkington Mentorship Award. He also has experience working for venture funds and technology startups and is an active angel investor.

 
Andrew lives in Colorado with his wife, daughter and labradoodle. In his spare time, you can often find him hiking, fly fishing and skiing.
