In his previous role at Orrick, Dick was a partner in the New York office, and a member of the Securities Litigation, Investigations and Enforcement Group. His practice focused on accountants’ liability, securities and commercial litigation, as well as arbitration and international and domestic white-collar criminal law. Dick is now Senior Counsel at Orrick, and while he continues to contribute to the work of those groups, his primary focus is on assisting our pro bono client, the Center for Reproductive Rights.

Dick has been involved in litigation in the state and federal courts of the United States, Europe, Asia and the Americas for more than 40 years. From June 1987 to August 1990, Dick served as Special Representative of the Attorney General, located at the United States Embassy in Rome, Italy. There he represented the Department of Justice in Europe and handled extradition and mutual assistance matters throughout Europe and North Africa, among other duties. In August, 1990, Dick’s contributions to the Administration of Justice in Italy were recognized when he was named “Commendatore al Merito della Republica Italiana”, the Italian Legion of Honor.

Prior to transferring to Rome, Dick served as an Assistant United States Attorney for the Southern District of New York, from January 1980 to June 1987. Dick received numerous commendations for his work in the United States Attorney’s Office, including the Distinguished Service Award from the Department of Justice for his leadership role in the case known as the “Pizza Connection”. Dick has been fluent in Italian since he was awarded an AFS scholarship for the school-year program in Naples, Italy, where he attended Liceo Classico.

Britney is an associate in Orrick’s Technology Companies Group. She advises technology companies on entity formation, venture capital financings, and day-to-day corporate governance, supporting clients from inception to exit.

Britney also works with venture capital firms in connection with their investments in early-stage and high-growth technology companies. Her experience includes supporting companies through financing rounds, drafting and reviewing key corporate documents, and ensuring compliance with corporate laws. She also supports clients with board and stockholder matters, equity compensation, and strategic transactions.

Hugues Martin-Sisteron パートナー

Hugues advises on the development and financing of international projects, with a particular focus on Africa and Europe. He has extensive experience advising sponsors (investors and industrialists), developers, and lenders (export credit agencies, commercial lenders, and development banks), particularly in the energy, infrastructure, and natural resources sectors.

Hugues regularly works on transactions in Africa. Through his involvement in numerous large-scale projects, he has acquired in-depth expertise in various national and regional legal systems and regimes, particularly those of the Economic Community of West African States (ECOWAS), the Central African Economic and Monetary Community (CEMAC), the West African Economic and Monetary Union (WAEMU), and the Organization for the Harmonization of Business Law in Africa (OHADA).

Hugues is also the author of numerous legal articles published in renowned law journals such as Lexis Nexis (France and Morocco), the Revue de droit bancaire et financier, the Revue Banque, and the Revue Contrats et Marchés Publics. In addition, he co-edits the annual editions of Lamy Droit du Financement and L’Essentiel Droits Africains des Affaires (Lextenso). He has also published the first book devoted to Islamic project financing.

Kenneth Marx シニア・アソシエイト

Ken represents issuers, underwriters and selling security holders on public and private offerings of debt and equity securities and liability management transactions, such as exchange offers, tender offers, and consent solicitations. He also guides businesses through all stages of organization and development by advising on ’34 Act and indenture reporting compliance, corporate governance and related regulatory matters, venture capital and growth equity financings, and corporate and securities law matters arising in connection with merger and acquisition transactions and corporate restructurings and reorganizations. Ken has served as counsel to companies in a variety of industries, including information technologies and services, life sciences and biotechnology, fintech, infrastructure, advertising, telecommunications, clean technology, financial services, and consumer products.

Nikiforos Mathews パートナー

His practice focuses on representing financial institutions, governmental and regulated entities, hedge funds and corporate end-users in developing, structuring and negotiating a broad range of fixed income, foreign exchange, commodity, energy and credit derivative products. Among other things, he has successfully negotiated numerous domestic and cross-border lien-secured hedging transactions relating to leveraged loans and infrastructure transactions, as well as deal-contingent hedges. In addition, Nik has significant experience in foreign exchange and fixed income prime brokerage issues, as well as various structured products. He also regularly advises clients in connection with derivatives regulation, including the application of the Dodd-Frank legislation and related regulations. Also, Nik provides counsel on close-out netting matters and UCC issues relating account control arrangements for collateral. Nik regularly advises on the structuring and negotiation of energy and commodity hedging transactions, as well as swap regulatory matters relating to VPPAs. Moreover, on a regular basis, Nik represents market participants on the termination and close-out of derivatives and other products, including providing advice on related bankruptcy matters.

Nik has published articles in several journals, including on rating agency hedge criteria in connection with structured finance transactions.

Before joining Orrick, Nik was vice president and assistant general counsel at Goldman, Sachs & Co. and director and counsel at UBS AG. He also served as a law clerk to the Honorable Nicholas Tsoucalas of the United States Court of International Trade.

From 1999 to 2007, Nik held a commission as a Captain in the United States Army Reserve, where he was qualified to practice as a Judge Advocate. A veteran of both Operations Iraqi Freedom and Enduring Freedom, he served as an Operational and Administrative Law attorney in Kuwait, Iraq and Afghanistan.

She has shepherded witnesses and defendants through all stages of state and federal investigations, government enforcement actions, and civil and criminal trials. She has served a pivotal role in multiple federal jury trials, including arguing motions and formulating effective direct and cross examination strategies. She has defended high-profile clients in the technology and finance sectors in securities class actions, and represents clients in shareholder derivative suits and other shareholder-related disputes.

Molly regularly represents companies and their officers and directors in connection with investigations by the SEC, DOJ, FINRA and other state and federal agencies. She has defended clients in SEC and DOJ enforcement actions. Molly's litigation experience also includes defending against allegations of securities fraud, the False Claims Act, and mail and wire fraud.

Molly's pro bono experience focuses on the assisted reproductive technology space, where she has become a go-to strategic advisor. In addition to representing individuals at all stages of the ART lifecycle, Molly regularly counsels organizations affected by assisted reproductive technology and third-party reproduction. Molly has appeared on The Doctors and in the Wall Street JournalNew York Times, and New York Magazine commenting on regulation and litigation in the gamete donation industry. Most recently, Molly secured a favorable ruling from the FDA on behalf of her clients.

Shane McCammon Sr Litigation Career Associate

Shane is a member of our team representing financial institutions in complex, high-value litigation involving mortgage-backed securities in federal and state courts, at both the trial and appellate levels.  An experienced litigator, Shane also has represented institutional lenders and private-equity funds in commercial foreclosure proceedings and complex contractual disputes involving the investment banking, real estate, healthcare, and tech sectors, guiding clients through every stage of litigation. 

Prior to joining Orrick, Shane served for more than 12 years as an active-duty JAG, excelling in a variety of litigation and leadership roles.  She deployed to Afghanistan as part of a small multinational team tasked with mentoring the Afghan National Army.  As a senior defense counsel, Shane led a team of Air Force criminal defense attorneys in Europe and first-chaired more than 40 fully litigated felony jury trials, ranging from premeditated murder to computer crimes. She also has significant experience defending federal agencies in employment discrimination matters.  

Shane has a robust pro bono practice, where she focuses on LGBTQ+ and veterans issues.
