Andrea (Andi) Mazingo represents financial institutions, institutional investors, and public and private corporations in all stages of complex, high-stakes disputes.

Andi has experience defending clients in shareholder derivative litigation, merger litigation, stock drop litigation, litigation prosecuted by institutional investors, and consumer class actions. She also is practiced in navigating government investigations and enforcement actions by numerous federal agencies, internal investigations, and white-collar criminal matters. Andi has argued in federal and state courts on behalf of her clients and is experienced in settling lawsuits in their early stages prior to extensive discovery.

Andi is familiar with the legal environment for soliciting investors, entering into mergers and other transactions, and making disclosures to investors, the public, and regulators, including those in offering documents and in filings with the SEC. She also is familiar with laws relating to corporate accounting, revenue recognition, and the fiduciary duties that officers and directors owe to investors. Andi is passionate about providing defense that is conscious of her clients’ business, reputational, and social needs.

In Andi’s pro bono practice, she served as an Orrick Racial, Social & Economic Justice Fellow, helping to form and lead A New Way of Life Reentry Project's family reunification practice to help incarcerated and previously incarcerated parents get their children back and testifying as an expert witness before California state legislative committees to support an amendment to California Welfare and Institutions Code Section 300 prohibiting a child from being separated from their family solely due to conditions of financial difficulty.
