John Kromer Partner

John helps clients navigate the complex maze of federal and state laws and regulations. He regularly counsels clients on compliance with regulations issued by the Consumer Financial Protection Bureau (CFPB) as well as examination and enforcement actions by the bureau, federal banking agencies, state regulators and other enforcement agencies. He advises on the laws governing licensing and chartering, usury, advertising, disclosures, privacy, lending and servicing practices, and laws prohibiting unfair, deceptive, or abusive acts or practices (UDAAP).

He advises financial services firms on new product and business line development, including structuring and negotiating commercial relationships, joint ventures and partnership agreements. Jesse Paul Albani Senior Associate

Jesse regularly serves as bond counsel for multifamily housing, student housing and waste-to-energy facility financings. His recent experience includes the development and implementation of a successful tax-exempt financing program for the creation and preservation of affordable housing for middle-income families and individuals across California. In addition, Jesse frequently assists issuers, underwriters and developers with the structuring and financing of nonprofit and general governmental transactions throughout the United States.

Jesse also serves on the Board of Governors for The University of San Francisco School of Law.

Robin works closely with the Corporate business unit and practice group leaders with regard to business management, financial and strategic planning, operation of the business unit and lawyer recruiting. She joined Orrick in 2011 as part of the Orrick Analytics Team. Robin joined the CPO team in 2013 and has held many roles in this capacity, most recently as the Deputy Chief Practice Officer for the Energy & Infrastructure Business Unit. Khai LeQuang Partner

Orange County

Most recently, Khai was lead trial counsel for EFG Bank and Erste Abwicklungsanstalt (which acquired the assets of former WestLB) in their lawsuit against AXA Equitable Life Insurance Company in the Southern District of New York, arising out of Equitable’s cost of insurance rate increase in 2016. EFG and EAA sought close to $100 million in damages. After several years of litigation, the case settled over the weekend before jury selection on very favorable terms. The settlement continued a string of recoveries Khai has achieved for clients pursuing claims against carriers that raised their cost of insurance rates.

Khai was lead trial counsel for EFG, EAA, and Obra Capital in their lawsuit against John Hancock Life Insurance Company in the Southern District of New York, arising out of John Hancock’s cost of insurance rate increase in 2018. EFG, EAA, and Obra sought over $100 million in damages. The case settled the evening before jury selection on very favorable terms.

Last year, Khai was lead trial counsel for a life insurance agent sued for fraud in connection with a life settlement transaction. The plaintiff sought over $10 million in damages. Following a one-week trial, the jury returned a complete defense verdict, and the case settled before judgment was entered.

Khai was lead trial counsel in a two-week bench trial in an action against a school district arising out of its allocation of $417 million in bond funds. The plaintiffs, led by a taxpayer association, sought $90 million for construction of a new school. After navigating a year-long political imbroglio and defeating plaintiffs’ summary judgment motions following a defense that Judge Pressman described as “brilliantly argued,” the case proceeded to a trial that resulted in a decision in favor of the district on all claims. Khai also defended and argued the appeal, in which the trial court’s judgment was affirmed.

Colleen counsels companies at all stages, from startups to Fortune 100, on the technology license and development agreements that drive their businesses, the strategic alliances that grow their industry relationships, and any other technology- and IP-driven agreements that are needed so companies can meet their business goals.

Colleen has extensive experience drafting and negotiating a wide variety of complex commercial agreements, including: intellectual property and data licenses; software development and license agreements; IT-focused services agreements, including consulting, development, hosting, and various “as-a-service” agreements; manufacturing and distribution agreements; joint venture and joint development agreements; and technology and intellectual property acquisition and disposition agreements. She also provides advice in connection with intellectual property and technology matters attendant to M&A and other corporate transactions.

She brings deep experience in the mobility technologies space, from connected vehicles and their supporting IT platforms to clean fuel technologies. She also has extensive experience in semiconductor design and fabrication, satellites and space technologies, telecommunications, and adtech.
