With extensive private credit experience, Russell is skilled at structuring and documenting complex financing structures such as senior secured project-level financings, back-leveraged financings, term loan A, term loan B and asset-backed loans.

Kim represents companies and individuals in a variety of complex commercial matters, including breach of contract, securities and stockholder litigation, borrower-lender disputes, trade secret misappropriation, and bankruptcy proceedings. She also has significant experience in white collar criminal and regulatory investigations and enforcement actions, as well as internal investigations. Kim regularly appears in courts across the country; before arbitration panels; and before regulators including the SEC, DOJ, and CFTC.
Kim maintains an active pro bono practice, including matters ranging from prisoners' rights to immigration issues and constitutional law.
Kim graduated from Harvard Law School, where she was an editor of the Harvard Law Review. She earned her B.A., with honors and distinction, and M.A. from Stanford University, where she was a member of Phi Beta Kappa.

Britney is an associate in Orrick’s Technology Companies Group. She advises technology companies on entity formation, venture capital financings, and day-to-day corporate governance, supporting clients from inception to exit.
Britney also works with venture capital firms in connection with their investments in early-stage and high-growth technology companies. Her experience includes supporting companies through financing rounds, drafting and reviewing key corporate documents, and ensuring compliance with corporate laws. She also supports clients with board and stockholder matters, equity compensation, and strategic transactions.

Robert has always been fascinated by new technologies and digitization. Pursuing his fascination, he focused his legal studies on media law, intellectual property law and data protection law. Prior to working at Orrick, he also gained experience by founding a company that provided a software as a platform solution and working for a German venture capital investor. His legal advice on technology transactions—in particular, SaaS and IP agreements, e-commerce-related topics, related assistance in mergers and acquisitions or core data privacy—thus reflects not only his legal experience but also his experience and fascination with new technology. Being an IT and IP lawyer with a very commercial mindset, Robert drafts and negotiates all sorts of IT and IP agreements, for small to medium companies and large multinationals. He advises on privacy compliance—in particular drafts, privacy policies, and national as well as international data processing agreements—or provides his knowledge with the assessment of the IP/IT and privacy matters in M&A transactions.
He joined Orrick in 2017 after working as a scientific researcher in the field of Data Privacy.

Anri brings a combination of unique skills and attributes which, collectively, make him essential to both maintaining and growing Orrick's longstanding successful practice representing Japanese clients in high-value IP litigation matters as well as serving Orrick's clients worldwide who have needs in Japan. Unlike the limited role of most lawyers in Japan who focus on U.S. IP litigation to client relationship management, Anri is adept at both client relationship and substantive litigation work including briefing and taking witness at trials.
In addition to many patent cases at district courts, USITC and before the US Patent and Trademark Office, Anri is also an experienced practitioner in international arbitration practice. Most recently, he played a huge role in a massive international arbitration matter, which resulted in a complete victory for his client.

Michael applies his broad experience in venture capital financings, public offerings, mergers and acquisitions, strategic alliances, technology licensing, and corporate spin-out transactions to each engagement. He has undertaken over 300 venture capital financings raising an estimated $7 billion for his clients, recently assisting Auris Health to raise over $650 million in financings before its sale to J&J for up to $5.75 billion.
He also brings extensive experience negotiating strategic alliances, representing clients in significant collaborations with GSK, Amgen, Schering-Plough, J&J, Daiichi, Astellas, King Pharmaceuticals, and most recently Pfizer, Merck, Baxter and Dainippon Sumitomo Pharma Co., Ltd.
Michael was the lead lawyer on the initial public offerings for Illumina, Neurocrine Biosciences, Cytokinetics, Pain Therapeutics, NeurogesX, Sequana Therapeutics, Ciphergen Biosystems, Argonaut Technologies, and Microcide Pharmaceuticals.
Michael was also the lead lawyer responsible for negotiating many notable biopharmaceutical spin-outs, including Onyx Pharmaceuticals (Chiron-Cetus), Tularik (Genentech), X-Ceptor (Ligand Pharmaceuticals), Metabasis (Gensia Sicor), and as well on the reverse merger of Transcept Pharmaceuticals with Novacea, creating a new publicly traded entity.
