Spencer focuses on commercial transactions in the energy, infrastructure, and technology sectors, including mergers and acquisitions, joint ventures, project development, and finance.

Spencer has experience representing project sponsors/developers, strategic investors, private equity investors, utilities, and start-ups in acquisitions, dispositions, debt and equity financings, and joint ventures, including drafting and negotiating purchase and sale agreements, shareholder agreements, LLC operating agreements, and credit and security agreements. Spencer represents domestic and multi-national companies and investors across the energy, infrastructure, and technology sectors with an emphasis on renewables and clean tech.

    • Represented a multi-national energy company in its entry into a joint venture with a strategic developer for the development of floating offshore wind projects in the United States.
    • Represented a consortium of members in forming a joint venture to design, build, finance, maintain, and operate a rail line for public transportation.
    • Represented a global investment bank in its acquisition of a renewable energy development platform company which owns a pipeline of utility scale and distributed generation solar and wind projects throughout the United States.
    • Represented a utility in connection with a repowering build-transfer agreement, where the owner of existing wind projects agrees to repower the projects and sell the projects to the utility.
    • Advised an energy major in the development and financing of direct air capture projects that remove CO2 from the air and into underground storage.
    • Represented a solar developer in the acquisition of an early-stage utility-scale solar project with a target nameplate capacity of 160 MW.
    • Represented an environmental services company in the acquisition of a utility meter reading and billing service provider.
    • Represented a wind and solar developer in the formation of a strategic joint venture and the acquisition and tax equity financing of solar projects with capacity of approximately 277 MW.
