Jennifer routinely advises clients on strategic partnerships and guides companies through every stage of corporate transactions where IP and technology are  key assets and where artificial intelligence (AI) is a driving factor. Jennifer has been in the leadership of the American Bar Association's Section of Intellectual Property Law for over 15 years.  She currently serves on the Sections' Council and has also been a member of the Continuing Legal Education (CLE) Board since 2016. Previously she was a member of the Nominating Committee, was Vice Chair of the Copyright Division, and chaired the Committee on Copyright & Social Media. 

Jennifer is a Fellow of the American Bar Foundation. Her speaking engagements and publications have addressed topics such as asset sales involving intellectual property, music licensing, IP ownership matters, and copyright permissions and fair use.

Before her legal career, Jennifer earned her Ph.D. in the History of Art from the University of Pennsylvania. She taught art history at The George Washington University and American University. She received fellowships from the French Ministry of Education (Chateaubriand Fellowship), the Philadelphia Museum of Art, The Phillips Collection, and the University of Pennsylvania.

Amy works with digital health companies, health systems and other public and private companies—from new entrants to seasoned organizations—to address regulatory compliance and transactional needs. She also advises investors and collaborates with clients to understand their business goals and tailor practical solutions to help them achieve those objectives. Harry Clark Partner

Harry is experienced in areas such as CFIUS/Exon-Florio examinations of foreign investment, military and “dual use” export control regulations (ITAR/EAR), economic sanctions administered by the U.S. Treasury Department (OFAC), customs regulations, the Foreign Corrupt Practices Act, anti-money laundering rules, anti-boycott requirements and defense industrial security requirements. He executes internal corporate investigations regarding trade and investment rules and advises on such rules in the context of corporate transactions.

Additionally, Harry has extensive experience with government contracting matters. Mike's practice focuses on the representation of U.S. and international public and private high technology companies, as well as executives, management teams and founders with compensation and employee benefits issues in the context of M&A transactions, spin-offs, venture capital financings and IPOs.

Mike also advises on day-to-day tax, employment, accounting and securities law issues in connection with the design, administration and implementation of executive compensation and equity compensation arrangements, including employment agreements, severance arrangements, change in control carve-out plans, stock option plans and employee stock purchase plans with a particular focus on Code Sections 409A, 280G and 162(m).
