Adam advises borrowers, lenders and financial sponsors in debt financings for M&A, PE and VC transactions.

He represents private equity sponsors, lenders and public and private corporations in a wide variety of financing transactions. He has significant experience representing both borrowers and lenders in acquisition financings, leveraged buyouts, recapitalizations and restructurings.

Prior to joining Orrick, Adam was a special counsel at Fried Frank.

    • A financial sponsor in connection with a margin financing through an offering of $150 million of structured notes.
    • A syndicate of lenders in connection with $295 million of senior secured credit facilities to finance an LBO transaction.
    • A financial sponsor in connection with $365 million of senior secured credit facilities to finance an LBO transaction.
    • A public insurance company in connection with a $500 million term loan and $4 billion of revolving credit facilities related to an acquisition.
    • A financial services company in connection with an offering of $313.5 million of structured notes.
    • A financial sponsor in connection with $305 million of senior secured credit facilities to finance an LBO transaction.
