Verena is a Managing Associate in the Munich office and a member of the M&A and Private Equity Group and Technology Companies Group. Verena advises national and international clients on all aspects of corporate law with a particular focus on domestic and cross-border M&A and Private Equity transactions, corporate restructurings, venture capital investments as well as ongoing legal advice.
Prior to joining Orrick, Verena worked at the Munich office of a leading international law firm.
Jie (Jeffrey) Sun, a partner in Orrick’s Shanghai and Beijing offices, is a member of the Corporate Group. Jeffrey represents Chinese and international clients from multiple industries, including technology, renewable energy, life sciences, financial services and consumer/retail, in a broad range of M&A, capital markets and corporate matters.
Jeffrey has extensive experience representing both Chinese enterprises in fund raising and investing abroad and foreign investors investing in China.
He regularly represents issuers and underwriters in the U.S. and Hong Kong public securities offerings, including initial public offerings (IPOs) and Rule 144A/Regulation S offerings for PRC-based companies.
In addition, he is experienced in handling complex cross-border mergers and acquisitions, foreign direct investment, strategic alliances, joint ventures and regulatory compliance matters for numerous foreign investors and Chinese companies. He also counsels global private equity funds on their investment activity throughout Greater China and across Asia.
Some clients he has represented include Bright Food, JD.com, Trina Solar, China Sunergy, Perfect World, ReneSola, Tudou, Pactera Technologies and some international investment banks and private equity funds.

Yuko is a member of the Energy and Infrastructure Group. Her practice mainly focuses on M&A, project financing, and permits and authorizations of renewable energy projects. She also handles real estate transactions, environmental conservation and fintech matters.
As of February 2020, Yuko has conducted legal due diligence for clients on 33 solar projects (total 1221MW) and 18 wind projects (total 1115MW) in Japan, including Japan’s largest solar project (235MW) and Japan’s largest wind project (121.6MW).
Yuko has been appointed as special member of the Environmental Preservation Committee of the Japan Federation of Bar Associations every year since 2006.

Shinsuke Yakura is the Office Leader of Orrick's Tokyo office and a member of the Complex Litigation and Dispute Resolution Group. He has broad experience in handling cross-border litigation, arbitration, intellectual property and compliance matters.
His practice focuses on intellectual property, antitrust, product liability, medical and pharmaceutical, and other commercial disputes for both domestic and foreign companies. He actively engages in cross-border litigation and arbitration, and draws on his extensive knowledge and experience from various countries.
In regards to intellectual property, Shinsuke has represented numerous companies in patent infringement litigation involving a wide range of technologies related to electric devices and industrial machinery. He has also handled other IP-related issues such as trademark, copyright and right to publicity. He is a qualified patent attorney (Benrishi) in Japan.
Recently, he has been involved in business and legal issues related to artificial intelligence (AI), Internet of Things (IoT), and big data; he also acts as the Asia representative of Orrick’s Global AI Working Group.
Consistently providing strategic advice from a global perspective, he is also actively involved in bribery regulations including FCPA and UKBA, antitrust and competition law, cartel, fraud and compliance investigations.

Minako plays a vital role in the rise of Japan’s renewable energy market.
Minako has significant experience advising international and domestic sponsors and developers on complex and innovative projects. She was called upon by the Japanese government in structuring the renewable Feed-in-Tariff scheme in Japan and prepared the government’s model contracts for specific contracts (power purchase contract/interconnection contract), which are a key component of the Feed-in-Tariff scheme in Japan.Backed by her experience in her prior career as a public prosecutor in Japan, she also serves as a member of the Tokyo Metropolitan Government Supervising Committee for Public Bidding (Tokyo-to Nyusatsu Kanshi Iinkai) which advocates public rights to the fairness and adequacy of the public bidding procedures of the government. Betty L. Louie is a partner of the M&A and Private Equity Group based in the Beijing office. With a particular expertise on Asia outbound investments, Betty has extensive experience in the areas of mergers and acquisitions, private equity, strategic investments and capital markets. She has practiced for over 20 years on the continents – the US, Europe and China – on strategic and complex mergers and acquisitions.
She regularly advises Chinese corporations and financial institutions investing and operating outside of China, and also assists international companies with their FDIs in China.
