Zach Finley, a partner in Orrick’s San Francisco office, is a member of the firm’s Banking & Finance Group.
He advises publicly held and privately owned (including sponsor-backed) companies, as borrowers, and major financial institutions, as arrangers and lenders, in syndicated credit facilities (including pro rata, first-lien/second-lien, term loan B and bridge loan facilities) used for acquisitions, recapitalizations, refinancings and general corporate purposes. His experience also extends to asset-based loans, equipment financings, debt restructurings and workouts.

Peter advises energy sector developers and investors on project development and financing matters, with a particular focus on renewable energy projects.
Peter has deep experience in both development and financing aspects of energy storage projects. He represented the sponsor in the first non-recourse financing of a portfolio of behind-the-meter projects, the 2017 IJGlobal North America Energy Storage Deal of the Year. He has worked on utility scale storage projects with a total capacity of more than 80 MWs (240MWhs) for utility and non-utility clients.
Peter’s utility-scale solar experience ranges from PPA, EPC, construction, equipment supply, O&M, interconnection, and shared facilities agreements to tax equity, debt financing, and M&A. He also represents clients in developing and investing in community solar and C&I solar projects.
Prior to joining Orrick, Peter was an associate with another international law firm, where he worked on energy and aviation financing transactions, mergers and acquisitions, and general corporate matters.
Lisa is widely recognized as an innovator in the natural gas regulatory arena. She has represented clients in the energy industry on regulatory strategy, compliance and transactional matters for more than 25 years.

the first authorization from the DOE to export domestic natural gas as LNG to
all trading partners, and represented the first bi-directional LNG terminals
proposed in the United States in proceedings before FERC.

Ken Herzinger is a partner in the White Collar, Investigations, Securities Litigation & Compliance Group in the San Francisco office. Ken was an attorney in the Enforcement Division of the U.S. Securities and Exchange Commission prior to joining private practice. His practice focuses on SEC investigations and enforcement actions, internal investigations, securities class actions, and ERISA class actions.
Ken has 20 years of experience as a securities litigator and has handled every type of SEC investigation and securities case, including new and developing areas like cybersecurity, blockchain, cryptocurrency, and SEC BSA/AML enforcement, and more traditional matters such as accounting and financial statement fraud, internal control over financial reporting (ICFR), disclosure controls and procedures, the Foreign Corrupt Practices Act (FCPA), insider trading, and Dodd-Frank and SOX whistleblower retaliation claims.

Securities Class Actions: Ken has also represented officers and directors and public companies in many high stakes securities class actions. He has tried cases in federal and state court and in arbitration proceedings, and was a member of the trial team which obtained a defense verdict in one of only several securities class action jury trials in the country to be tried to verdict.
ERISA Class Actions: Ken has successfully defended companies and ERISA plan fiduciaries in ERISA class actions and has a strong track record of defeating the cases at the motion to dismiss stage. Vanessa A. Liborio Garrido de Sousa is a member of the International Arbitration practice group. Her practice focuses on complex, high-value disputes involving major infrastructure construction projects, consortia and joint venture agreements, sales of goods, collateral management agreements, insurance coverage, aviation and consultancy agreements.
Vanessa has acted as counsel in numerous international arbitration proceedings before the International Chamber of Commerce, the London Court of International Arbitration, the Swiss Chambers of Commerce and other international fora and subject to a variety of procedural and substantive laws (including English, French, New York and Swiss law).
