Alan Knoll Partner Asset Backed Securities, Debt Capital Markets

Alan Knoll, a partner in the New York office, is chair of the Structured Finance Group. He practices corporate securities law with an emphasis on structured finance transactions.

Alan's practice involves advising issuers, underwriters, purchasers and Boards of Directors on complex financial transactions in both publicly registered offerings and private placements. He has extensive experience with the securitization of a variety of assets, including credit cards, charge cards, consumer loans, auto loans, auto leases, dealer floorplans, aircraft and aircraft engines, and has been involved in the development of a number of novel securitization structures. Alan also has expertise in general corporate matters, including SEC reporting requirements.

Alan is co-chair of Orrick’s Opinion Committee and is a member of the firm’s Risk Management Committee and Conflicts Resolution Committee. He has also served as a member of the Board of Her Justice, an organization which provides free legal services to low-income women in New York City who suffer from abuse, and is a recipient of the Her Justice Commitment to Justice Award.

Christine M. Kosir, an attorney at Orrick's Global Operations and Innovation Center in Wheeling, WV, manages the firm's Auditor Response Team.

Randy Kozel Associated Law Professor Supreme Court & Appellate

Randy Kozel is a professor of law at Notre Dame Law School and an Associated Law Professor in Orrick’s Supreme Court and Appellate Litigation practice.

Randy was named the Distinguished Teacher of the Year by the Notre Dame Law School Class of 2014. He also runs the Notre Dame Program on Constitutional Structure.

Randy teaches and researches in fields including constitutional law, federal courts, information privacy, and contract law, with a particular focus on the role of precedent in legal decision making. His recent scholarship exploring the connection between precedent and interpretive philosophy has been published or is forthcoming in journals including the Michigan Law Review, the California Law Review, the Vanderbilt Law Review, and the Texas Law Review. His forthcoming book, entitled Settled Versus Right: A Theory of Precedent, makes the case for using precedent to bridge interpretive disagreements.

Randy received his J.D., magna cum laude, from Harvard Law School, where he was the Articles Committee Chair of the Harvard Law Review. He served as a law clerk for U.S. Supreme Court Justice Anthony M. Kennedy and for Judge Alex Kozinski at the U.S. Court of Appeals for the 9th Circuit. He has also practiced as a litigator with a large law firm and as Special Counsel to the General Counsel at General Electric Company.

Randy is admitted to practice in California and provisionally admitted in Indiana.

Margaretha Kramer, née Lawrynowicz, is a Managing Associate in the Düsseldorf office and a member of the International Arbitration Group.

Margaretha advises and represents clients in national state court and international arbitration proceedings. She furthermore acts as Administrative Secretary for Arbitral Tribunals under the ICC and DIS Rules and has extensive experience with disputes under the ICC, ICDR, ICSID, DIS and the LCIA Arbitration Rules.

Margaretha’s practice focuses on corporate, construction, distribution and energy law matters.
