Maria Teresa is member of the Energy & Infrastructure department. Her activity focuses on both the renewable energy sector and infrastructure.
Maria Teresa regularly deals with banking and financial transactions and, in particular, project finance transactions, both in infrastructure and renewable energy sector, assisting both sponsors and funds as well as leading Italian and international financial institutions. In this context, Maria Teresa has acquired significant experience in all phases of such transaction and, in particular, from due diligence activities, rick analysis and allocation, drafting and negotiation of finance documents (including related security documents), to financial close. Maria Teresa has also a significant experience in drafting and negotiation of project contracts, including power purchase agreement and PPP contracts.
Yasmina is an associate in the Los Angeles office and is a member of the Real Estate group.
She represents institutional investors and developers on their real estate investments across the U.S. These investments include acquisitions, dispositions, joint ventures, financings, developments, construction contracts and leasing matters across a range of asset classes, including industrial, office and hospitality.
Kayla Southworth is a Managing Associate in the New York office and a member of the M&A and Private Equity Group.
Kayla advises public and private companies on mergers and acquisitions, joint ventures, and general corporate matters. She also advises fund sponsors and institutional investors in private investment funds.
She was trained as a litigator and antitrust lawyer at Sullivan & Cromwell and Davis Polk before transitioning into corporate practice at Orrick. She excels at quickly developing in-depth knowledge about various industries, markets, and companies, and she enjoys providing essential legal and business advice to clients in a wide range of industries (including financial services, technology, healthcare, pharmaceuticals, chemicals, and consumer products). As part of her prior antitrust work, she regularly analyzed potential synergies, evaluated relevant product and geographic markets, and identified potential divestiture scenarios to obtain regulatory approval of proposed transactions.
Anna Spanò, a lawyer in the Milan office, is a member of the European Corporate, Energy and Antitrust Groups. Anna has extensive experience in merger and acquisition and corporate transactions, including joint ventures, acquisition agreements and general commercial contracts.
Since the beginning of the liberalization of the market in Italy, she has also focused on the energy sector, with special emphasis on renewable energy.
Anna has been advising several foreign and domestic clients in multiple transactions in the renewable energy field (notably, wind and photovoltaic projects), including: site developments, EPC contracts and other supply related agreements, and provides assistance to sponsors in project finance projects. She works in close cooperation with the Orrick’s European Alternative Energy Practice who works mainly in the renewable energy project financing market.
Before joining the firm, Anna was a member of Studio Legale Tributario in Milan, a law firm associated with Ernst & Young International.
Anna received the J.D. at the University La Sapienza in Rome and admitted to practice in Italy since 1993.
Stephen Spitz, a partner in the San Francisco office, is a member of the firm’s Public Finance Department. He serves as leader of the Department’s Water and Wastewater Financing Team.
Steve serves as bond counsel, disclosure counsel and underwriters’ counsel in a variety of municipal enterprise revenue bond issuances, including financing for water, wastewater, solid waste and airport facilities. His practice is, in addition, focused on single family and multifamily affordable housing financings. Steve also has expertise in higher education financings, interest rate swaps and swap based products in the municipal market. He often assumes a leading role in bond and disclosure work for new and complex clients.
Jim Stanley is a senior associate in the White Collar, Investigations, Securities Litigation & Compliance group.
He has significant experience in FCPA, anti-money laundering, and cross-border internal investigation matters. Jim has also represented clients in civil matters at trial and arbitration proceedings. Prior to joining Orrick, Jim was a litigation associate at Paul, Weiss, Rifkind, Wharton & Garrison LLP in New York and clerked for Judge Bobby E. Shepherd on the U.S. Court of Appeals for the Eighth Circuit.
John F. Stanley focuses his practice on the tax aspects of municipal finance and on tax controversy matters. He also has experience advising on tax issues related to closely held corporations, including gift and estate tax matters.
In his municipal finance practice, John has served as bond counsel, special tax counsel and underwriter’s counsel for a variety of transactions, including particularly governmental, airport, and public power financings. John has represented issuers and borrowers before the Internal Revenue Service in connection with audits, private letter rulings, and requests pursuant to the voluntary closing agreement program (VCAP).
John has worked with issuers to establish post-issuance compliance programs tailored to their specific financings, and also has significant experience with tax-exempt commercial paper programs for both governmental and exempt facilities.
Alex Stathopoulos, a senior associate in the San Francisco employment group, defends employers in complex wage and hour class actions and single plaintiff cases, and provides creative and practical counseling on a wide range of employment issues including new and developing areas of the law.
In 2018, Alex was named California Young Lawyers Association (CYLA) Section Liaison to the California Lawyers Association (CLA)
Labor and Employment Section, and is an editorial board member of the CLA Labor & Employment Section Law Review. She was also recently appointed as an Alternate Delegate to the American Bar Association (ABA) House of Delegates, the policymaking body of the nationwide group.
Alex defends employers in class and collective actions brought under federal and state wage and hour laws, including misclassification, meal and rest periods, off-the-clock work, expense reimbursement, and Private Attorney General Act (PAGA) claims. She also routinely defends employers in high-stakes single plaintiff cases involving leaves and accommodations, discrimination, harassment, retaliation, whistleblowing, wrongful termination, and trade secrets.
Her counseling practice focuses on providing advice to management, designing appropriate workplace policies and procedures, and offering creative and practical solutions to address a wide range of employment issues including new and developing areas of the law.

Enrico Stefanelli is a Real Estate Lawyer member of the Finance Group in the Milan Office.
Enrico assists primary operators and investment funds on all aspects of commercial real estate transactions, including acquisitions and disposals of real estate assets and portfolios, development and redevelopment projects, financing, joint ventures and leasing.
He has represented investors, real estate funds, corporations, financial institutions and asset management companies, both domestic and international, in transactions involving commercial, residential, and industrial assets.
He has also gained experience in the field of corporate matters, including extraordinary transactions, mergers and acquisitions, and on-going assistance to corporate clients.
Prior to joining Orrick, Enrico was an associate in a real estate boutique law firm in Milan.

Finding a niche to combine his passion for international law and competition law, Till Steinvorth is a partner in Orrick’s Antitrust & Competition practice group in Düsseldorf. He has practiced in several other major European centers, including Berlin, London and Brussels, and he received his PhD in Italy. It was there when his interest in European law was piqued and that brought him to the area of competition law.
Till practices in all aspects of competition, including mergers, compliance, cartels, litigation, abuse of dominance, among others – but his interest in antitrust damages claims has become a highlight of his practice. For example, he has brought an action for damages against the members of the German "sugar cartel" on behalf of a manufacturer of sweets and confectionary. This is one of the very first damages actions in Germany where the members of a cartel are being sued to disclose information for calculating the quantum of damages. Cartel investigations are also a centerpiece of his practice, including several matter where he has represented multinational companies in cartel investigations before the European Commission or the German Federal Cartel Office.
Till also pursues international trade and compliance matters, including matters involving foreign investment filings in Germany. He teaches competition law at the FOM Hochschule für Oekonomie und Management in Essen.
Till has been ranked by leading German business daily Handelsblatt among "Germany's Best Lawyers" for competition law (2020). He has also been ranked as top competition lawyer 2019 by the German business weekly WirtschaftsWoche.
James Stengel represents clients in large, complex and multi-party class action litigation, including significant actions involving the chemical, building products and medical device industries. He also has significant experience representing Chinese companies in litigation in U.S. courts.
Jim is consistently recognized as a leading lawyer in legal publications such as Chambers USA and Benchmark Litigation. Chambers notes Jim's work on asbestos claims and environmental contamination and cites sources who say he is "very smart, very tactical and very much a big-picture guy who knows how to get things done."
Jim has served in a variety of management roles at Orrick, including Managing Director of Litigation, Member of the Executive Committee and Board, Lead Director, and, currently, a member of the firm’s Management Committee.
Jim has written and lectured on complex litigation and mass tort subjects at a variety of law schools and seminars.
