Stephen Thau is a partner in Orrick’s Technology Companies Group. He is a strategic advisor to life sciences and technology companies, guiding them through various milestones of their life cycle.

Stephen’s practice focuses on the representation of life science, medical device, health IT, and other technology companies in transactional matters, including public and private financings, licensing, collaborations and strategic alliances, and mergers and acquisitions. He also represents venture capital and investment banking firms in public and private financing transactions.

Stephen has served as a member of the Board of Tech Council of Maryland, the leading technology and life science association in that state, and of BayBio, Northern California’s leading life sciences association. He is a frequent speaker on venture capital financings and served on the faculty at the 2005 and 2007 Emerging Entrepreneurs workshops at Stanford University.

Prior to joining Orrick, Stephen was a partner at Morrison & Foerster, Venture Law Group and Heller Ehrman. He began his legal practice as a litigator, focusing on securities and intellectual property.  He also served as a law clerk to the Hon. Vaughn R. Walker in the United States District Court in the Northern District of California.  Stephen graduated Order of the Coif from Stanford Law School, where he was managing editor of the Stanford Law Review, and graduated magna cum laude from Harvard College in Biology.

Darrell Thomas Partner Real Estate, Infrastructure


Darrell focuses on real property for a variety of matters, ranging from traditional real estate transactions to requirements for energy and other projects.

Darrell has experience in a wide range of traditional real estate matters, including drafting and negotiating development agreements, construction contracts, restrictions agreements, purchase and sale agreements, ground leases, facility and office leases, and construction and permanent loan documents. He has also formed commercial and residential condominium regimes, including for mixed uses. He represents developers and users in acquisition and development matters, including requirements for access, utilities, detention, drainage, use restrictions and economic incentive arrangements. He also represents lenders in commercial mortgage loan originations, workouts and foreclosures.

Darrell also works on all aspects of real property requirements for energy and other projects, including drafting and negotiating leases, easements and other real property agreements, satisfying title insurance requirements, reviewing and revising property tax abatement agreements and resolving conflicts between mineral and surface development. connection with renewable energy projects, including the development, construction, financing, acquisition and disposition of projects.

James E. Thompson, a senior associate in the San Francisco office, is a member of the Securities Litigation, Investigations and Enforcement Group. His practice focuses on defending companies and individuals in securities class actions, shareholder derivative suits, and SEC investigations and enforcement actions.

James has extensive experience litigating securities class actions, derivative suits (including M&A related litigation), and other complex commercial disputes in both state and federal courts across the country. He also has represented companies and board committees in numerous internal investigations and regularly advises companies on corporate governance, fiduciary duty and disclosure issues.

James's clients include NVIDIA Corporation, Oracle Corporation, Fisker Automotive, VantagePoint Venture Partners, Aruba Networks, and David Sambol.

James has also dedicated significant time to pro bono representations. Recently, he successfully tried a case before Judge Alsup in the Northern District of California on behalf of an inmate, demonstrating that the inmate had not received adequate due process.

Dahl has extensive experience in a range of complex commercial transactions, including mergers and acquisitions, joint ventures and project development and finance, with a particular emphasis on renewables, mid-stream energy and infrastructure projects and companies. He is the office leader of Orrick's Houston office.

He represents project sponsors/developers, private equity investors, utilities and strategic investors in all stages of structuring, developing, financing, acquisition and disposition of energy projects and companies, including the negotiation and drafting of purchase and sale, joint development, shareholder, partnership and LLC operating, debt and equity financing, security, credit, power purchase, tolling, construction and other major equipment supply agreements, and also credit arrangements. Over the last decade, Dahl has successfully closed transactions relating to projects totaling many thousands of megawatts and many billions of dollars in asset value.

Adrienne Tierney is an associate in the Complex Litigation and Dispute Resolution group in Orrick’s San Francisco office. Her practice includes cybersecurity and privacy litigation, complex civil litigation, white collar criminal defense, and government and internal investigations.

Adrienne represents corporate clients and individuals in state and federal courts, as well as in domestic and international arbitration proceedings. In her civil litigation practice she has represented clients in a broad range of commercial disputes and product liability actions. She has also represented her clients at trial.

In her cybersecurity and privacy practice Adrienne has defended clients in class action litigations, and government enforcement actions following the announcement of cybersecurity and privacy incidents. In the event of a privacy or security breach she helps companies respond and guide them through investigation, remediation, notification and any ensuing government inquiries.   

Adrienne maintains an active pro bono practice, which has included protecting women’s reproductive rights and advocating for criminal justice reform.

James Tierney Partner Antitrust & Competition, Antitrust/Intellectual Property

The former chief of the U.S. Justice Department’s Networks and Technology Enforcement Section (Net Tech), Jim focuses his practice on antitrust and competition law, advocating before federal agencies on behalf of the firm’s global clients in the technology, energy & infrastructure and finance sectors.

Jim is a well-recognized figure inside the Beltway and an accomplished antitrust lawyer, with expansive knowledge of regulatory issues facing the technology and finance sectors.

As Net Tech chief, Jim oversaw all civil antitrust enforcement in the tech and financial services sectors, reviewing, investigating and, when necessary, litigating, every major strategic technology transaction and conduct issue in the past decade. He oversaw civil antitrust enforcement, competition advocacy, and competition policy in the areas of computer hardware and software, high-technology component manufacturing, financial services, securities industries, and professional associations. Jim also led the agency’s cooperation with antitrust and competition authorities worldwide.

Jim is a five-time recipient of the Assistant Attorney General Award of Distinction, and also received the prestigious Roberts Award in 2011 for excellence, leadership and dedication in the enforcement of antitrust laws. Prior to becoming Net Tech’s chief, he served for three years as assistant chief of the Antitrust Division’s Litigation 2 section and was a trial attorney in the agency from 1994 to 2003. He also served in the Antitrust Division’s Professions and Intellectual Property section. He clerked for Washington State Supreme Court Justices James A. Andersen and Fred H. Dore.

Erin Carter Tison has unique experience in private practice, government, and serving in an in-house role, which allows her to bring a variety of perspectives to the when advising clients on various litigation issues.

Erin has experience with all aspects of litigation, from filing the complaint up to serving as first chair at trial and everything in between.  In addition to trial work, she has substantial experience taking and defending both fact and expert depositions, drafting and arguing complex dispositive briefing, managing the preservation, collection, analysis, and production of paper and electronic documents, conducting custodian interviews, and briefing complex and technical discovery and privilege issues.  Recently, Erin served an extended secondment with The Dow Chemical Company as a case Manager in Dow's Asbestos, Products Liability & Insurance Litigation Group.  In this capacity, she managed the asbestos and premises litigation dockets for Union Carbide and Dow throughout the western and northeastern United States.  This involved overseeing hundreds of ongoing product liability cases, including advising the litigation management team on case evaluation, resolution, and business strategies, as well as directing outside counsel and trial counsel teams.

Prior to joining Orrick, Erin served as an Assistant United States Attorney for the Northern District of West Virginia in Wheeling, WV.  At the United States Attorney's Office, Erin focused on both defensive and affirmative civil matters on behalf of the United States, its agencies, and employees.  In this role, Erin practiced in a variety of areas of the law, including but not limited to, constitutional claims, torts, statutory and administrative claims, environmental matters, tax and bankruptcy matters, FOIA litigation, and fraud.  While at the United States Attorney's Office, Erin served as the e-discovery office coordinator for the District, and was the chair of the diversity committee. Prior to her government service, Erin was a member of the Trial Practice group at Duane Morris LLP, where she focused on commercial litigation and corporate internal investigations.

Dr. Nikita Tkatchenko is a Partner in our Dusseldorf office and member of the M&A and Private Equity Group.

He advises mainly on M&A transactions, restructuring and general corporate law.

Furthermore, he has significant experience in antitrust and merger control law.

Prior to joining Orrick in 2011, Nikita worked at the German law firm Hengeler Mueller.
