Leah Sanzari Partner Structured Finance, Asset Backed Securities

Leah Sanzari acts as counsel to issuers, underwriters, servicers, placement agents and investors in connection with both public offerings and private placements.

She has experience in a wide variety of asset-backed securities, with a particular emphasis on residential mortgage transactions, esoteric assets including tax liens, PACE liens, oil & gas securitizations and resecuritizations. Leah has worked with numerous borrowers and lenders on financing and warehouse facilities for mortgages and esoteric assets and has represented both sellers and buyers of portfolios of assets, including mortgages and esoteric assets.

Leah advises a number of financial institutions and government agencies with regard to the implications of financial markets regulation, as well as in connection with complex capital markets, debt financing and other transactions.

Leah’s recent experience includes co-leading transactions representing the noteholders in two innovative securitizations of oil and gas wellbore assets of Raisa Energy, an EnCap portfolio company, and Diversified Gas & Oil, an AIM-listed public company.

She is a part of the Financial Institutions Industry Group, a multi-practice global group of partners who have client relationship responsibilities for financial institutions around the world.

Anne brings a unique blend of corporate trial and appellate litigation and military prosecutorial experience to provide nuanced solutions to her clients' complex legal problems.

For nearly a decade before joining Orrick, Anne served as an officer in the U.S. Army Judge Advocate General's Corp.  Her military experiences include prosecuting dozens of criminal cases--including rape and murder--at Fort Bragg, North Carolina and Fort Benning, Georgia, advising the U.S. Army Judge Advocate General and other senior Army leaders on military justice, and advising the commander of the Army's only active-duty information warfare brigade.  Among other distinctions, Anne was awarded the Bronze Star for her service in Afghanistan with the 82d Airborne Division and is a graduate of the U.S. Army Airborne School.

Before joining the Army, Anne practiced in San Francisco, first with the litigation group at Pillsbury Winthrop and later with Jones Day's issues and appeals practice .  Her representative cases in private practice include successfully defending an oil-and-gas company against claims brought under the Alien Tort Statue and customary international law, securing a complete defense verdict at trial on alter ego and agency liability allegations against an insurance company, and successfully defending on appeal summary judgments based on professional responsibility violations and statute of limitations grounds.

Al Sawyers Partner Structured Finance, Asset Backed Securities

Al Sawyers, a partner in Orrick’s New York office, is co-head of Orrick’s global Finance business unit. His practice focuses on the creation of derivative securities, structured financial products, and repackaged asset-backed, corporate and municipal securities. He previously served as chair of Orrick’s Structured Finance Practice.

Al represents issuers and underwriters in the issuance of credit-linked notes, collateralized bond obligations, synthetic convertible bonds and synthetic money market eligible securities. He also works with clients entering into various swap agreements, such as interest rate, credit default, currency and equity swaps, and has authored alerts on various financial industry-related topics, including the Dodd-Frank Act.

Al has been ranked by Chambers and Partners both globally and nationally in the structured products category. Legal500 has noted Al for his work in structured finance, quoting a client who stated that he has "impressive expertise in all facets of securitization in general, which is immensely helpful when we are working on complex transactions." The International Financial Law Review has also recognized Al for his work in structured finance and securitization. Euromoney notes him as an expert in Banking, Financial and Transactional Law: Structured Finance and Securitization.

Dr. Hans Felix Schäfer, Counsel in Orrick's Düsseldorf office, is a member of the Real Estate Group.

Felix has particular experience in the infrastructure and logistics sectors, where he has been focused on real estate transactions, structuring of real estate investments, fund counseling and private equity as well as restructuring of real estate financings. He has also advised on a series of diverse large scale project developments as well as (portfolio) transactions for German and international clients.

Felix previously worked at international law firms Freshfields Bruckhaus Deringer and DLA Piper UK LLP. He served as inhouse counsel with ProLogis Germany Management GmbH and spent two years with HFK Law Offices. Most recently, he was an associated partner with independent German law firm Graf von Westphalen.

Felix attended the University of Cologne, where he received his doctorate degree. He has been acknowledged as "frequently recommended" in the field of Real Estate by JUVE Handbook of German Law Firms (2012/2013) and is member of the Royal Institution of Chartered Surveyors.

Jay Schau, a corporate associate in Orrick's San Francisco office, is a member of the Technology Companies Group.

Jay represents high growth technology companies in several areas, including corporate and securities law, formation, and venture capital financings.

Jay received his JD from the University of Michigan in 2017. He is also a 2014 graduate of the University of Alabama where he double majored in Economics and Finance.

Prior to joining Orrick, Jay worked as a Bates Fellow at The Silicon Cape Initiative in Cape Town, South Africa, where he worked to grow the tech and entrepreneurship ecosystem in and around the Western Cape.

Tracy Scheidtmann uses a collaborative approach and extraordinary foresight to help people – and their businesses – resolve a wide range of employment issues. Underscoring her commitment to helping others, Tracy also searches for ways to use her legal skills to help the community. She dedicates significant hours each year to various pro bono causes, including serving and supporting those affected by domestic violence. Prior to Orrick, Tracy worked with her law school’s Domestic Violence Advocacy Project, where she represented individuals who sought to obtain or enforce civil protection orders in the District of Columbia Superior Court. She was also a legal intern at the United States Holocaust Memorial Museum in Washington, D.C. in 2000.

She has advised hundreds of employers on the complex legal, compliance and human resource challenges associated with today’s workplace. Her years spent litigating high-stakes disputes allow her to see the full landscape of an issue, and therefore pinpoint pitfalls and opportunities that others might overlook. Tracy also knows that cost and sensibility go hand in hand. Whether working with clients in the startup space or large corporations, she aligns her legal advice with each clients’ culture, as well as its business and financial objectives.

Tracy honed her litigation skills as an attorney in Orrick’s employment group from 2002-2015. In 2015, she joined Facebook to gain in-house experience as a company investigator. In that role, Tracy identified potential legal or company policy violations to help the company proactively address workplace issues. Upon her return to Orrick in 2016, Tracy found her niche as an advisor, focusing her practice exclusively on employment advice and counseling.

Samantha Hope Scheller Managing Associate Complex Litigation & Dispute Resolution

Samantha Scheller is a litigation associate in Orrick's New York office.

Samantha has experience with a wide array of matters, including the representation of major financial institutions, corporations, and individuals in securities and commercial litigation and accountants’ liability matters.  She has represented clients in both federal and state courts.  

She is active in pro bono matters, including matrimonial cases for domestic violence survivors and low-income clients.  She recently led a team in drafting an amicus brief to the Rwandan Supreme Court calling for the repeal of portions of the Rwandan Penal Code restricting access to legal abortion.  Samantha also received a Legal Aid Pro Bono Publico Award in 2016 in recognition for her pro bono work supporting the NY Legal Aid Society.

Prior to law school, Samantha produced and filmed for a number of reality television shows.  During law school, Samantha focused on media law, copyright, and First Amendment issues.
