John Narducci is a partner in the New York office and the leader of the firm's Tax Practice Group in New York. John's practice focuses on the tax aspects of securities offerings, mergers and acquisitions, restructurings, transactions in the energy market, financings, derivatives, as well as a broad range of other transactions.
John has extensive experience in stock and asset acquisitions, including tax-free reorganizations. He has represented purchasers, sellers and lenders in structuring acquisitions and negotiating the tax aspects of stock purchase and asset purchase agreements. Many of these acquisitions involved cross-border transactions.
Working with issuers, underwriters and investment funds, John has advised clients on numerous securities offerings, including securitization transactions, tender option bonds and high yield debt. Such offerings involved issuers in more than 40 countries.
John regularly works on the restructuring of transactions, including structured financings, project financings and energy and infrastructure projects. He advises on the tax planning aspects of such transactions.
Mr. Narducci has been involved in the development of tax-efficient financial structures, particularly in the cross-border context. For example, he has created tax-efficient structures for several investment funds. He also advises several financial institutions with respect to derivatives transactions, including the tax aspects of ISDA Master Agreements.
He also works with regulated and unregulated participants in the energy market on financings and a wide range of other transactions. Some of these transactions involve rural electric cooperatives.
John also advises on the tax aspects of pass-through entities, project financings and a broad range of other matters. He worked on the sovereign debt restructurings of Bulgaria, Costa Rica, Croatia, Nigeria, Poland and Vietnam.
Clients and their success are Kate’s focus. As Director, Tech and Investment, Kate works with emerging and high-growth technology companies at each stage of the company’s lifecycle, from making impactful, targeted introductions to strategic investors to advising on key hires to identifying core attorneys with the precise subject matter expertise.
Kate brings a macro perspective when strategizing with founders, CEOs, general counsels and other executives on a company’s immediate, medium and long-term needs, drawing on her market knowledge and experience as both an in-house and firm attorney. It is important to Kate that clients have the right connections and resources in place at the right time. She focuses on identifying and facilitating such connections by leveraging Orrick’s extensive, global network so clients can focus on running a successful business.
Kate began her career as an in-house lawyer for a private, high-growth tech company, supporting the business through its IPO. During her years there, she juggled scale and rapid growth with budget constraints, KPIs and legal risks, developing her practical, collaborative, business savvy approach. She then joined Orrick’s Technology Companies Group, where she counseled fast paced technology companies cutting across all sectors from HealthTech and Life Sciences to Robotics and FinTech.
Kate relies on her experience as a mediator not only to craft creative solutions to challenging issues, but also to build alliances. Her background in fundraising and political organizing for high impact local and global non-profits has instilled in her an ease for asking the tough questions and partnering with a variety of influencers.
Yumiko Ohta, partner in the Orrick's Tokyo office, is a member of the Employment Law Group. Yumiko focuses mainly on employment law advice as well as various corporate transactions including compliance, corporate governance, mergers and acquisitions, joint ventures, litigation and general corporate transactions.Yumiko also has international trade expertise in areas such as customs rules and export controls.
Before joining Orrick, Yumiko was an associate at Tanabe & Partners and advised clients in corporate transactions and employment law as well as represented clients in civil and family cases. Also, she has experience serving as an outside auditor for Japanese corporations. Prior to practicing law, she worked at Mitsubishi Corporation for seven years. While there, she was involved in LNG projects and other global business.
Joanna Oleniuk is an associate in the London office and a member of the Technology Companies Group.
Joanna's practice focuses primarily on transactional and advisory work in respect high growth technology companies and venture capital firms.
Prior to joining Orrick, Joanna has worked at a venture capital fund in Berlin and has a particular interest in Central and Eastern Europe.
Frank Paz is a Corporate associate in the New York office.His practice focuses on domestic and cross-border mergers and acquisitions, formation and equity financings for early-stage companies, and advising on corporate governance matters.
Joseph Z. Perkins, a partner in Orrick's Silicon Valley office, is a member of the Technology Companies Group, which advises emerging companies and venture capital firms.
Joseph focuses his practice on providing private venture financing and merger and acquisition services to Internet, high tech, and clean technology companies in the United States and Japan.
Prior to receiving his Juris Doctor from Harvard Law School, Joseph spent four years as an officer of a company that provides language and travel services to Japanese travelers.
Chris is an associate in Orrick's Technology Companies Group. He advises on a wide variety of corporate law issues affecting early to late stage technology companies and those who invest in them, with a particular emphasis on venture capital, private equity, mergers and acquisitions.Prior to joining Orrick, Chris trained and worked at a major international law firm where he advised on several large M&A transactions as well as a number of private equity and venture capital investments.

Scott M. Porter, special counsel located in the San Francisco office, is a member of the Corporate Group. Scott coordinates knowledge management projects and materials for the group.
Scott was an associate at the firm from 1998 until 2006 and has experience in mergers and acquisitions, corporate finance, securities law and general corporate matters.
Prior to joining Orrick, he was an associate at Pillsbury Madison & Sutro LLP from 1997 to 1998.

Aubrey has advised hundreds of companies in various industries on a range of general corporate matters, guided companies and private equity firms through mergers and acquisitions and managed contracts for a large public company. She focuses on counseling technology companies on various corporate matters and advising companies and investors in early to later stage financings.
Aubrey is also especially interested furthering women entrepreneurs in the technology industry, as well as working with local animal organizations.
Aubrey lives in Menlo Park, California with her husband, two daughters and two dogs.
Andrew is a managing associate in Orrick's Technology Companies Group. He works with tech companies from formation through equity and convertible debt financings and general corporate matters all the way through to exit. And particularly enjoys partnering with new and exciting companies to help them bring their visions to reality.
