Ray Ellis, a partner in the San Francisco office, is a member of the Tax Group. One of California’s leading authorities on estate planning and leader of Orrick’s Private Wealth Group, Ray has concentrated in the areas of trusts, estate and gift tax and generation-skipping tax planning for 30 years.
He often represents families owning substantial interests in closely held and publicly traded corporations, advising on matters ranging from family partnerships, limited liability companies and S corporations to private foundations, charitable trusts, and arrangements for the transfer of wealth to succeeding generations.
Joshua Emmett, an associate in Orrick's New York office, is a member of the Tax Group.
Josh focuses his practice on a broad range of federal income tax matters, with an emphasis on renewable energy investment and energy tax credits. He has represented both lenders and borrowers in various financing transactions, and also sponsors in renewable energy transactions.
Carsten Engelings is an associate in the Düsseldorf Office and a member of the practice group tax.
Carsten advises on all sorts of German tax and accounting issues arising for industry clients, financial institutions and private equity funds. Mainly focusing on corporate and real estate transactions and restructurings. He also advises and represents clients with respect to tax field audits and in tax litigation against the fiscal administration and before German fiscal and civil courts. Prior to joining Orrick Carsten completed his legal traineeship in both national and international law firms.

Stephen Jackson, partner in Orrick's Paris office, is a member of the Tax group. Steve's practice covers a wide range of U.S. federal income tax matters arising in connection with various domestic and international transactions, as well as financial products and tax planning for financial institutions.
His primary focus is on U.S. taxation of securitizations and re-securitizations, including collateralized debt and loan obligations, mortgage-backed securitizations, structured investment vehicles and other structured finance and financial markets transactions.
For over a decade, Steve has served as tax counsel to issuers and underwriters in numerous registered, agency and privately-placed RMBS transactions (primary issuances and re-securitizations), involving performing loans and non-performing loans, as well as other mortgage-related asset classes, such as servicing advances and tax liens, and in securitizations involving other asset classes such as credit card and auto loan/lease receivables. Steve also provides tax advice in connection with whole loan purchase transactions, including leveraged and nonleveraged acquisitions, joint ventures involving mortgage assets and repo and warehouse financings for various asset classes. Steve also advises financial institutions on tax issues in connection with their role as servicer, trustee or securities administrator under various securitization programs, as well as with respect to FATCA.
Steve writes and lectures on finance and international related tax topics and also participates actively in the tax committee and other initiatives of the Structured Finance Industry Group and other industry and bar-related organizations.
Margot Janot is a tax lawyer in the Paris office of Orrick.
Margot advises French and international companies and private equity funds on transactional tax matters. She advises companies on their development in France and abroad, mergers and acquisitions, restructurings and refinancing. She also assists companies in tax audits and litigation.
Margot also advises individuals on the management and transfer of their assets.
Before joining Orrick, Margot Janot worked in international firms such as Dentons, Pwc Law Firm and Fidal. She has also worked at the Klépierre real estate company and at the P20 section of the Parquet du TGI de Paris.
Anne-Sophie Kerfant, a lawyer specializing in tax law and employee savings plans, is a member of the Tax group at Orrick Rambaud Martel in Paris.
She advises French and foreign industrial companies and financial institutions on financing transactions (capital markets and structured finance), mergers and acquisitions in France and abroad, as well as on restructurings.
She is also specialized in setting up employee shareholding plans for employees and high-level executives of French and foreign companies.
In addition, Anne-Sophie assists natural persons with the management and conveyance of their assets and liabilities, and follows up on their tax inspections and tax litigation.
After having started her career in the tax management department of Ford France and spending 13 years at Shearman & Sterling, Ms. Kerfant joined Orrick Rambaud Martel in 2007 and has been Office leader of the Paris office between 2014 and 2018.
James Larkin, Of Counsel in the firm's New York office, is a member of the Tax Group.
Jamie concentrates on a broad range of federal income tax matters, including tax issues related to cross-border stock and asset acquisitions, debt and equity offerings, collateralizations, reorganizations, cross-border financings and transfer pricing.
Prior to joining Orrick, Jamie was an associate at White & Case LLP.
Giovanni Leoni, a senior associate in the Milan Office, is a member of the Tax group. Giovanni specializes in Italian and international tax law and tax litigation. He has acquired extensive expertise in general corporate law and mergers and acquisitions.
Giovanni's previous work experience includes associate and partner at CBM & Partners LLP in Milan. Prior to joining CBM & Partners LLP, Giovanni worked as a trainee lawyer at Berenghi, Fiorini, Strobino in Milan.
Stephen Lessard, an associate in Orrick's New York office, is a member of the Tax Group. Steve focuses his practice on the taxation of debt and equity offerings, cross-border transactions, tax controversy, and municipal finance. He also has experience counseling nonprofit organizations on federal tax law and corporate governance.
Prior to joining Orrick, Steve was a Surface Warfare Officer in the U.S. Navy.
Kimberly Loocke is a senior associate in the San Francisco office and a member of the Tax Group. Kimberly focuses her practice on the tax aspects of corporate and real estate transactions, sales and use taxation, as well as tax controversy and operational matters.
Kimberly holds a Certified Public Accountant license and worked as a senior tax associate for Deloitte Tax, LLP prior to law school.
Steven Malvey, a partner in the San Francisco office, is a member of the Tax Group. Steve has extensive experience in complex corporate transactions as well as tax controversies, with over 30 years of experience.
He conducts a broad federal tax practice in large corporate transactions and reorganizations, corporate finance and partnership, including pre-acquisition tax structuring. He also has substantial experience in executive compensation tax planning, exempt organizations and federal tax controversies, and has written on related tax topics.
