Darrell focuses on real property for a variety of matters, ranging from traditional real estate transactions to requirements for energy and other projects.
Darrell has experience in a wide range of traditional real estate matters, including drafting and negotiating development agreements, construction contracts, restrictions agreements, purchase and sale agreements, ground leases, facility and office leases, and construction and permanent loan documents. He has also formed commercial and residential condominium regimes, including for mixed uses. He represents developers and users in acquisition and development matters, including requirements for access, utilities, detention, drainage, use restrictions and economic incentive arrangements. He also represents lenders in commercial mortgage loan originations, workouts and foreclosures.
Darrell also works on all aspects of real property requirements for energy and other projects, including drafting and negotiating leases, easements and other real property agreements, satisfying title insurance requirements, reviewing and revising property tax abatement agreements and resolving conflicts between mineral and surface development. connection with renewable energy projects, including the development, construction, financing, acquisition and disposition of projects.
Toshihiko Tsuchiya, partner in Orrick's Tokyo office, is a member of the Real Estate Group. His practice focuses on the securitization and liquidation of real estate assets, including the utilization of the TMK structure in development projects.
His experience covers not only real estate assets, but also receivables and claimable assets.
Mr. Tsuchiya has also been involved in a wide range of international and domestic business transactions including mergers and acquisitions, general corporate matters, international litigation and international arbitration.
Before joining Orrick, Mr. Tsuchiya was a partner at Jones Day and a Japanese law firm in Tokyo.

Christian works on a range of commercial real estate matters including lease agreements, acquisitions and disposals of real estate assets and portfolios, development and redevelopment projects, funds formation and liquidation, as well as other corporate real estate activities and joint ventures.
He has represented various funds, developers, corporations, financial institutions and asset management companies, both domestic and international, in transactions involving commercial, residential, hotel and industrial assets.
He has also gained significant expertise in transactions involving assets owned by distressed companies, carried out in pre-insolvency or bankruptcy procedures.

Jerry Walsh, a partner who serves as head of the Real Estate Group, is based in Los Angeles. He advises public and private entities, developers, companies and institutional lenders (including commercial banks, pension and opportunity funds and their advisors) on the acquisition, construction, development, entitlement, financing, leasing, restructuring and disposition of master planned communities, hotel, golf and resort projects, mixed use projects, corporate campuses, and commercial and retail centers.
Jerry is particularly recognized for his work in connection with the acquisition, restructuring and realization of distressed debt in the real estate and hospitality markets. Clients seek him out for the most complex distressed debt transactions, including securitized and mezzanine debt intercreditor workouts and the establishment of mezzanine debt lending platforms. Jerry led a multidisciplinary Orrick team in one of the most sophisticated real estate debt transactions that was restructured in 2013, involving a series of complex transactions and multi-state litigation. In the 2017 California Real Estate category, a client told Chambers USA that Jerry is "practical and technically great, and he understands how to get a transaction done."
In addition, Jerry leads Orrick’s hospitality practice and advises global opportunity, hotel and pension funds and advisors in connection with the acquisition, repositioning and disposing of hotel portfolios throughout the United States. He advises on acquisitions, joint ventures, financing, rebranding, disposition and negotiation of hotel management agreements, shared services and amenities agreements, and franchise agreements, including termination of hotel management and franchise agreements involving brands such as Four Seasons, Ritz-Carlton, Marriott, St. Regis, Renaissance, Luxury Collection, Westin, Kimpton and other Sheraton/Starwood brands.
