Mike is a transactional lawyer whose principal areas of practice are tax, energy and infrastructure.
He regularly advises his clients on energy tax credits, government incentive programs, project developments and financings, mergers and acquisitions (M&A), and all forms of leasing transactions. Mike represents investors and developers in tax equity financings across the renewable energy sector. He also assists clients in a broad range of federal income tax matters, including domestic and cross-border M&A, restructurings, financings, private equity and securities offerings.
Dan has over 30 years of experience and manages a leading practice in project development, acquisitions, divestitures and financings in the energy and infrastructure sectors. He is Global Co-Head of Infrastructure and serves on Orrick’s Board of Directors.
His key clients include major strategic and financial sponsors who have been involved in many of the largest and highest profile PPP and project development transactions over the past 20 years. Dan advises clients on Public-Private Partnerships, large-scale, complex project financings, and acquisitions and divestitures of projects and project portfolios, leading a team that has the depth and breadth to deliver excellence in every phase of a project, including development, construction, financing and operations, as well as providing leading M&A, restructuring and tax advice. His key clients include major strategic and financial sponsors who have been involved in many of the largest and highest profile PPP and project financings over the past 25 years.
Dan has long been recognized as a leading practitioner in publications such as Chambers USA (every year since 2005), The Legal 500 and others. Clients described him in Chambers as the “best in the business" and added that "he has an encyclopedic memory about all the deals in the market and a negotiating style that solves problems rather than creating them.”
Dan advises on projects spanning the infrastructure space, including toll roads, rail, airports, ports, thermal and renewable energy generation, transmission infrastructure, telecommunications infrastructure, and water and waste facilities.
Mr. Mathews, a partner in Orrick’s New York office, serves as Global Co-Head of the Derivatives group. He is also a member of the Structured Finance, Banking and Finance, and Energy and Infrastructure groups.
His practice focuses on representing financial institutions, governmental and regulated entities, hedge funds and corporate end-users in structuring and negotiating a broad range of fixed income, foreign exchange, commodity, energy and credit derivative products. Among other things, he has successfully negotiated numerous domestic and cross-border hedging transactions relating to leveraged loans and infrastructure transactions. In addition, Mr. Mathews has significant experience in foreign exchange and fixed income prime brokerage issues, as well as various structured products. He also regularly advises clients on derivatives regulation, including rules relating to the central clearing, exchange trading, reporting, recordkeeping and other requirements of the Dodd-Frank legislation, as well as the negotiation of related documentation.
Mr. Mathews is lead editor of Orrick’s publication, Derivatives in Review, which periodically highlights important legal, regulatory and other newsworthy developments in the area of derivatives. He has also published articles in several journals, including on rating agency hedge criteria in connection with structured finance transactions.
Before joining Orrick, Mr. Mathews was vice president and assistant general counsel at Goldman, Sachs & Co. and director and counsel at UBS AG. He also served as a law clerk to the Honorable Nicholas Tsoucalas of the United States Court of International Trade.
From 1999 to 2007, Mr. Mathews held a commission as a Captain in the United States Army Reserve, where he was qualified to practice as a Judge Advocate. A veteran of both Operations Iraqi Freedom and Enduring Freedom, he served as an Operational and Administrative Law attorney in Kuwait, Iraq and Afghanistan.
Anna Matsuo's practice focuses on advising and counseling employers on a wide range of employment issues and defending employers in litigation before state and federal courts and administrative agencies.
Anna defends employers against a range of employment claims, including discrimination, harassment, retaliation, wrongful discharge, breach of contract, and wage and hour violations. She also provides preventive counseling to employers including advising on compliance issues, preparing employee handbooks and policies, advising on personnel matters including hiring and firing, and drafting employment contracts.
Before joining the firm, Anna practiced at national and regional law firms where she represented management in employment litigation.
Andrew Mattei, a partner in the New York office, is a member of the Banking & Finance group. Andrew represents both domestic and non-U.S. commercial banks and investment banks in negotiation of complex leveraged and investment grade lending transactions. He has a wide range of experience in first lien/second lien financing and negotiation of intercreditor agreements.
Lorraine McGowen is a lead restructuring partner with over 30 years of experience representing clients from the US and internationally with entrepreneurial enthusiasm and a true passion for innovation seeking to maximize their recoveries or reduce their exposure.
Lorraine advises financial institutions, syndicated lender groups, creditor committees and other parties from the U.S., Europe, Asia and Africa who seek to maximize recovery or reduce exposure. She also advises investors and acquirers of companies. She interfaces with auditors, government regulators, investment bankers and others, and develops and implements mediation and litigation strategies, and negotiates reorganization plans and complex corporate and finance documents.
Recent engagements include representing Toyota (one of the largest creditors with more than $7 billion in claims) in the highly complex global restructuring of Takata Corporation, one of the largest manufacturers and distributors of automotive safety systems, including airbags; representing financial institutions in connection with Puerto Rico’s $72 billion restructuring; and representing several PPA counterparties in the PG&E bankruptcy case. Lorraine is described by colleagues, clients and others as “tireless,” “driven, determined, dedicated and devoted” and “a multi-faceted, multi-dimensional, multi-successful person on so many levels.”
Lorraine is a member of Orrick's Management Committee and recently completed two terms of service on the firm’s 11-member Board of Directors. She also currently co-leads Orrick's Automotive Technology & Mobility group and its global Diversity & Inclusion (D&I) Initiative.
As a leading D&I advocate, Lorraine creates programs for the legal profession and the community. James McQuade, an employment partner in the New York office, represents clients in high-stakes employment, trade secrets and restrictive covenant litigation throughout the United States.
Jim's practice focuses on matters involving trade secret misappropriation and the enforcement of post-employment restrictions. Jim has conducted numerous temporary restraining order and preliminary injunction hearings in connection with these types of cases. Jim also has extensive experience defending employers on a broad range of employment matters, including whistleblowing, discrimination, retaliation and wrongful termination matters.
In recognition of his career trade secrets and restrictive covenant work, Jim has been inducted into the Legal 500 Hall of Fame for Trade Secrets Litigation. Jim also serves as Co-Editor-In-Chief to Orrick's acclaimed Trade Secrets Watch blog.
Laura Metzger is a partner in the Restructuring Group and Office Leader of Orrick’s New York office.
She regularly represents financial institutions, funds and investors involved in bankruptcies, out-of-court restructurings, foreclosures, distressed sales and acquisitions, loan and claims trading, bankruptcy litigation and refinancing involving syndicated loan facilities and debtor-in-possession financing.
Recognized as “outstanding” by Legal 500, Laura was also named an "up and coming" lawyer by Chambers USA, which praised her “very commercial and solution oriented” approach. She is “a very capable lawyer who gives great advice,” according to clients.

Tyler Miller, a Senior Associate in the New York office, is a member of the Intellectual Property group. Tyler's practice focuses on patent litigation.Tyler has represented clients in the federal district courts, before the United States Court of Appeals for the Federal Circuit and at the United States Patent and Trademark Office in IPR and CBM matters. He has experience in matters involving a wide range of technologies, including software, consumer electronics and biotechnology.
Sam Scott Miller, senior counsel in the New York office, serves as Chairman of the Market Regulation Group. He concentrates his practice in the regulation of financial intermediaries.
