Jaak Poldma International Associate Complex Litigation & Dispute Resolution, International Arbitration & Dispute Resolution


Jaak is a dual-qualified lawyer (New York and England & Wales) and represents large companies in litigation and international arbitration. Most of his clients are in the technology, energy, and infrastructure sectors. Jaak has a wide range of experience in key aspects of dispute resolution, including discovery, oral advocacy, trial proceedings, and enforcement of arbitral awards. As a former professional tennis player, he is a competitive and passionate advocate for his clients’ needs. 

Jaak is currently working on several international arbitration matters in the energy and infrastructure sector. He is representing international companies in ICC and LCIA proceedings which arise from disputes in Africa, CIS countries, and the Gulf region. When practicing in the U.S., he represented Oracle in Oracle v. Google, a high stakes copyright trial known as the "World Series of IP." Jaak is also active in Orrick's pro bono program, having acted on behalf of single mothers in the New York Family Court and a Nigerian citizen facing deportation. In addition to his disputes-related work, Jaak has written and spoken on legal issues affecting blockchain and cryptocurrency technologies and advised companies in this space.

Jaak graduated in the top 10% of his class at U.C. Berkeley and, during law school, was a judicial extern to the Honorable Jon S. Tigar at the U.S. District Court for the Northern District of California. Before his legal career, Jaak was a professional tennis player. He is a three-time NCAA champion and was a member of the Estonian Davis Cup team.

Nicholas Poli Managing Associate Complex Litigation & Dispute Resolution

Nicholas Poli specializes in complex commercial litigation representing large, sophisticated clients in their most important matters in state and federal courts across the country.

Nicholas has extensive experience in issues arising out of the financial crisis, including a range of issues relating to residential mortgage backed securities (“RMBS”) and lending practices. He has represented issuers and sponsors of RMBS in fraud and breach of contract cases, as well as federal and state securities actions. Nicholas also served as the lead associate on a trial team that defended a global financial institution during a two-week trial in the New York Supreme Court.  

Nicholas is a key member of the Orrick team that represents Credit Suisse, a Swiss multinational investment bank and financial services company, and has represented this client in more than a dozen cases. This includes defending the client against claims brought by investors, trustees, and monoline insurance companies in connection with the purchase and sale of RMBS. Nicholas also completed a secondment at Credit Suisse, where he was in the litigation and investigations group. During this time, he worked on regulatory matters involving FINRA, the SEC, the DOJ, the CFTC, and the NY Department of Financial Services. Additionally, he handled internal investigations addressing issues such as insider trading.

Nicholas is also a member of the Orrick team representing one of the nation’s largest mortgage loan servicers. This engagement covers all of the company’s RMBS related legal issues. Nicholas has also represented this company in a class action lawsuit involving allegations of improper loan servicing practices.

Betsy draws upon a decade of legal and policy experience to address sensitive business and legal issues for her clients. Whether guiding high-profile tech companies through cutting-edge human rights challenges, advising on front-page international peace negotiations, or safeguarding executives from white collar matters, Betsy resolves conflict while preserving her client’s reputation.

As a leader of Orrick’s Business and Human Rights practice, Betsy helps companies uncover, address, and remediate human rights issues. This area of law is particularly critical for high-profile tech companies, which can be more susceptible to the reputational, business, and legal risks associated with violations concerning the freedom of expression, right to privacy, gender equality, and other human rights issues. Betsy’s work has ranged from helping a tech start-up build its business consistent with human rights norms to helping a tech giant realign its policies to meet international human rights law standards.

Betsy first honed her ability to balance high-stakes and complex legal and ethical challenges while advising parties involved in international peace negotiations. She provides legal assistance to the Syrian opposition in United Nations-mediated peace negotiations through the Public International Law & Policy Group (PILPG). Betsy also serves as an expert advisor to The Shaikh Group's track II Northeast Syria dialogue, and works on its efforts to develop technology solutions to structural conflict resolution barriers. She previously worked with PILPG on the UN-mediated Darfur peace negotiations, provided legal and policy assistance to the Libyan National Transitional Council, and founded PILPG’s Istanbul office when she was based there during the Geneva III peace negotiations.

In her white collar practice, Betsy applies the same delicate approach to help companies and individuals avoid or calm a public outcry. When faced with allegations of corruption or other criminal issues, clients rely on Betsy to thoroughly investigate, and offer a precise plan forward.

Betsy maintains close ties to the human rights and foreign policy communities by serving as a term member of the Council on Foreign Relations and an Ambassador Council member of the International Crisis Group.

Betsy is a Lecturer in Law at Stanford Law School where she teaches negotiations. She previously guest lectured at UC Berkeley's Human Rights Center, University of San Francisco School of Law, and American University Washington College of Law.

Alexander M. Porcaro Senior Associate White Collar, Investigations, Securities Litigation & Compliance, Government Investigations and Enforcement Actions

Alex Porcaro is a senior associate in Orrick's San Francisco office, where he focuses on regulatory enforcement actions, white collar criminal defense, and internal investigations.

In his regulatory enforcement practice, Alex helps companies and executives navigate investigations and enforcement proceedings involving the U.S. Department of Justice, the Securities and Exchange Commission, and the Federal Bureau of Investigation. He has a particular focus on financial and accounting issues and regularly works with the firm’s Whistleblower Taskforce to address internal complaints before they attract regulatory scrutiny.

With a background in technology startups, Alex particularly enjoys working with early stage companies to resolve unexpected legal challenges and enable continued growth. His early stage clients have included seed-stage and venture-backed companies in the fintech, edutech, renewable energy, sustainable foods, and cloud software sectors.

In his internal investigations practice, Alex conducts domestic and global investigations relating to the Foreign Corrupt Practices Act, foreign anti-bribery statutes, accounting issues, the False Claims Act, and ethics policies.

As a former commercial litigator, Alex is well versed in all aspects of pretrial civil litigation in federal and state courts, including drafting and arguing motions; taking and defending depositions; document discovery; alternative dispute resolution; and class action practice.

Alex has been recognized as a Super Lawyers “Rising Star” and is the recipient of numerous academic honors. Before becoming an attorney, Alex was a writer, editor, and web producer for technology startups and San Francisco’s National Public Radio (NPR) station.

Merrie brings to this work a deep understanding of the legal market, and in particular, the lateral partner recruiting market, compensation and integration. Over the course of her career, she has helped hundreds of partners make successful moves. She previously led Hudson Gate Legal, a search firm, where she focused on partner-level searches. Prior to that, she served as Director of Attorney Development at Cadwalader. She began her career as a corporate associate at Debevoise.

When she’s not talking to top legal talent, Merrie can be found on a spin bike, visiting a great spa, taking a hip hop class, traveling and spending quality time with her husband, Jason and sons, Charlie (age 9) and Alex (age 6).

Darren Pouliot Associate Complex Litigation & Dispute Resolution

Darren Pouliot is an Associate in the Complex Litigation and Dispute Resolution group. 

Darren represents clients in federal and state courts at both the trial and appellate levels. He is currently involved in the Johnson & Johnson Talc Litigation as part of the Orrick team serving as national coordinating counsel for J&J on its asbestos-related cases. 

Prior to joining Orrick, Darren attended Columbia Law School where he extensively studied federal constitutional, administrative, and criminal law. While there, he was a judicial intern in multiple levels of the federal judiciary, including the Second Circuit Court of Appeals, the Southern District of New York, and the District of New Jersey. He also led the Columbia Business Law Review as its editor-in-chief for the 2017-18 academic year.
