James E. Thompson, a senior associate in the San Francisco office, is a member of the Securities Litigation, Investigations and Enforcement Group. His practice focuses on defending companies and individuals in securities class actions, shareholder derivative suits, and SEC investigations and enforcement actions.

James has extensive experience litigating securities class actions, derivative suits (including M&A related litigation), and other complex commercial disputes in both state and federal courts across the country. He also has represented companies and board committees in numerous internal investigations and regularly advises companies on corporate governance, fiduciary duty and disclosure issues.

James's clients include NVIDIA Corporation, Oracle Corporation, Fisker Automotive, VantagePoint Venture Partners, Aruba Networks, and David Sambol.

James has also dedicated significant time to pro bono representations. Recently, he successfully tried a case before Judge Alsup in the Northern District of California on behalf of an inmate, demonstrating that the inmate had not received adequate due process.

Mark Thompson is an senior associate in the New York office and a member of the employment law and litigation groups. Mark's practice focuses on employment litigation and counseling. He has significant experience litigating wage and hour, discrimination, harassment and trade secret issues in high-profile cases for clients in the venture capital, technology, financial services and media industries.

He is the office leader of Orrick's Houston office.

He represents project sponsors/developers, private equity investors, utilities and strategic investors in all stages of structuring, developing, financing, acquisition and disposition of energy projects and companies, including the negotiation and drafting of purchase and sale, joint development, shareholder, partnership and LLC operating, debt and equity financing, security, credit, power purchase, tolling, construction and other major equipment supply agreements, and also credit arrangements. Over the last decade, Dahl has successfully closed transactions relating to projects totaling many thousands of megawatts and many billions of dollars in asset value.

Lina M. Thoreson is of counsel in the Sacramento office and a member of the firm's nationally recognized Public Finance Department. Andrew Thorpe, a partner in Orrick's San Francisco office, is a member of the Corporate group. Andrew’s practice focuses on securities regulation, public offerings, mergers and acquisitions and corporate governance.

His diverse industry experience spans semiconductors, software, fintech, life sciences, medical devices, clean technology, financial services, telecommunications and internet.

Andrew is one of the top IPO counsels to issuers, according to statistics from IPO Vital Signs. Andrew has been involved in over 40 IPOs. In the Legal 500 rankings, it was noted that Andrew "is great to work with:  he's knowledgeable, has excellent capital markets and regulatory experience, and is creative, smart and always keeps his cool."

Andrew provides clients with his valuable perspective from having extensive experience on all sides of the table in capital markets transactions – issuer, underwriter and the SEC. Prior to entering private practice, Andrew worked in the Division of Corporation Finance of the Securities and Exchange Commission, where he was responsible for reviewing public companies' Securities Act and Exchange Act filings. From January 2001 to April 2005, Andrew served as special counsel with the Office of Rulemaking within the Division of Corporation Finance. While in this position, he played a significant role in drafting many of the regulations emanating from the Division, including those mandated by the Sarbanes-Oxley Act of 2002, as well as Securities Act Reform.

The former chief of the U.S. Justice Department’s Networks and Technology Enforcement Section (Net Tech), Jim focuses his practice on antitrust and competition law, advocating before federal agencies on behalf of the firm’s global clients in the technology, energy & infrastructure and finance sectors.

Jim is a well-recognized figure inside the Beltway and an accomplished antitrust lawyer, with expansive knowledge of regulatory issues facing the technology and finance sectors.

As Net Tech chief, Jim oversaw all civil antitrust enforcement in the tech and financial services sectors, reviewing, investigating and, when necessary, litigating, every major strategic technology transaction and conduct issue in the past decade. He oversaw civil antitrust enforcement, competition advocacy, and competition policy in the areas of computer hardware and software, high-technology component manufacturing, financial services, securities industries, and professional associations. Jim also led the agency’s cooperation with antitrust and competition authorities worldwide.

Jim is a five-time recipient of the Assistant Attorney General Award of Distinction, and also received the prestigious Roberts Award in 2011 for excellence, leadership and dedication in the enforcement of antitrust laws. Prior to becoming Net Tech’s chief, he served for three years as assistant chief of the Antitrust Division’s Litigation 2 section and was a trial attorney in the agency from 1994 to 2003. He also served in the Antitrust Division’s Professions and Intellectual Property section. He clerked for Washington State Supreme Court Justices James A. Andersen and Fred H. Dore.

Thomas H. Tobiason is a member of the Technology Companies Group, which advises high growth technology companies, venture capital firms and investment banks.

Tommy represents public and private high-tech and life science companies in the renewable energy, life science, mobile, Internet, display, semiconductor and other high-tech industries, focusing on formation, financing and general corporate counseling.

He has completed hundreds of venture capital financings as well as numerous acquisitions (representing both acquirers and sellers), public offerings (representing both issuers and underwriters) and commercial transactions.

Tommy, who spent most of his career based in California's Silicon Valley, also advises a number of entrepreneurs and companies doing business in China, Taiwan, Vietnam and India. In addition, he advises clients on open source licensing and intellectual property issues in connection with mergers, acquisitions, and financing transactions.  He represents both mature and emerging companies in a variety of industries, including in SaaS, software, hardware, biotechnology, pharmaceuticals, information technology, and data intelligence.

Ramin previously served as in-house counsel at a public SaaS and software company in the Bay Area, where he advised on technology transactions, product and regulatory issues.  He also was an associate at Latham & Watkins LLP, where he focused on complex business and intellectual property related litigation.
