Andrea Piermartini Rosi, a Partner and a member of the M&A and Private Equity Group. His practice focuses on corporate law, corporate governance and employment law issues. He also practices tax law.

Andrea is an expert in M&A transactions, such as mergers, de-mergers, acquisitions, transfer of going concerns, disposal and outsourcing. He is also active in corporate restructurings and turn-around. In these transactions (carried out both locally and cross border), Andrea focuses on employment law strategies and issues.
Andrea is an Italian qualified lawyer since 2000, Certified Public Accountant since 1987, Certified as Trustee in Bankruptcy and Accounting Auditor since 1995.
Before joining Orrick, Andrea was a partner at Tonucci & Partners Law Firm. He has been head of the team for the drafting of the new customs code for the Republic of Albania and related implementation regulations, as well as the Code of Accise and related implementation regulations.
Andrea is a speaker at numerous national conventions on tax and corporate governance topics.

    • Coca Cola in the acquisition of Acque Minerali S.r.l. (“Acque Minerali” or “Lurisia”), a privately-held natural mineral water and adult sparkling beverages business in Italy.
    • IDS - Ingegneria dei Sistemi the sale of the Air Navigation Division to ENAV, a company leader in air traffic management and control.
    • Sorgenia in the acquisition of the majority share capital of Universal Sun S.r.l., Esco (Energy Service Company). Universal Sun is specializing in energy efficiency and renewable sources.
    • Eneracque S.p.A. in the sale of 60% of the share capital of Berg S.p.A. – an Italian company active in the field of waste-to-energy - to ACEA.
    • Clere AG in the acquisition of clusters of projects/power plants in both renewable and non-renewable sources sector by means of share or asset deals
    • Fintech Holding in the sale of the entire share capital of [email protected] and Whit-e to TeamSystem Financial Value Chain S.r.l., a newly established subsidiary of TeamSystem Group, and simultaneous reinvestment by Fintech Holding in TeamSystem Financial Value Chain S.r.l. for 49% of the share capital.
    • Calvi Holding Group in the agreement for the entry of IDeA Corporate Credit Recovery II into the capital of the Calvi Group with a 26% stake, the injection of financial resources by the IDeA CCR II and illimity fund for a total amount of €13.5 million, and a partial refinancing, of €34 million, of the existing exposure by illimity.
