Jeff advises issuers, underwriters and lenders in a variety of transactions, with a focus on financings for multifamily and single-family housing and the securitization of pools of multifamily housing bonds and loans. Jeff has worked on other project-based financings, advising the developer in the case of natural gas-based fertilizer and chemical production facilities and the Bank of America Tower at One Bryant Park, and advising the underwriter in the case of a biofuel production facility. Jeff was a member of the team that developed the first revolving loan fund to provide financing for facilities for charter schools.

  • Jeff's representative engagements include:

    • Housing. Jeff serves as bond counsel, underwriters counsel and disclosure counsel in connection with financings by the California Housing Finance Agency, the District of Columbia Housing Finance Agency, the Montana Board of Housing, the New York City Housing Development Corporation, the New York State Housing Finance Agency and the Utah Housing Corporation.

      Jeff assisted with the issuance by a national real estate developer of taxable corporate debt to finance a portion of the costs of constructing a 550-unit luxury apartment tower in San Francisco.

      Jeff advised the mezzanine lender in connection with the financing of a portion of a multi-building multifamily housing complex, also located in San Francisco.

      Jeff has represented the direct purchasers of bonds on several multifamily housing financings, ensuring that programmatic requirements of the purchasers are satisfied and that the terms of the financing agreed to between the purchaser and the developer are reflected.

    • Renewables, Fuels and Fertilizer Facilities. Jeff has represented the developer of a nitrogen fertilizer plant located in Iowa and a methanol facility located in Texas. The representative work included both initial bond financing and the refinancing of existing debt, as well as other corporate borrowings.  Jeff has also acted as underwriter's counsel in connection with the financing of an ethanol biorefinery in North Dakota.

    • The Port Authority of New York and New Jersey. Jeff is a member of the Orrick team representing the Port Authority as bond counsel and disclosure counsel.

    • Restructuring. Jeff was a member of the Orrick team advising a senior creditor in the exit financing of a publicly financed hotel and convention center in Lombard, Illinois.

    • Education. Jeff also served as counsel to private schools located in New York City in connection with public and private borrowings.
