Grace Guan is a managing associate in Orrick’s Tax Group who advises public and private companies, private equity sponsors and investors on the U.S. federal income tax aspects of complex domestic and cross-border transactions.

Grace's practice includes taxable and tax-free mergers and acquisitions, private equity and venture capital investments, sales of emerging growth companies, corporate reorganizations, joint ventures, and debt and equity financings. She also has experience with "qualified small business stock" and other tax issues arising in complex business transactions.
