Jonas has represented clients in the technology sector in federal and state courts across the country, with argument experience in the federal courts of appeals.
Before joining Orrick, Jonas served as a law clerk to Judge Beverly B. Martin of the U.S. Court of Appeals for the Eleventh Circuit and Judge Analisa Torres of the U.S. District Court for the Southern District of New York. A graduate of Yale Law School, Jonas was an Articles and Essays Editor for the Yale Law Journal and a member of the Veterans Legal Services Clinic.
Jonas previously served as a staff attorney at a leading nonprofit and litigated in federal district and appellate courts challenging adverse effects from criminal fines and fees.

Montana primarily represents emerging growth companies, venture capital funds and other strategic investors in a wide array of corporate matters, including early and late-stage venture funding rounds, formation and corporate governance, securities issuances and mergers and acquisitions. Montana's practice spans commercial industries, with significant experience representing frontier technology companies and "dual use" companies such as those in the defense, nuclear and space industries.

She advises on formation, general corporate and governance matters, and a broad range of transactions, such as venture capital financings, mergers and acquisitions. Kasey also advises venture capital investors on investment in their portfolio companies.
Prior to joining Orrick, Kasey was an associate in the Emerging Companies and Venture Capital Group at Fox Rothschild LLP in New York.

Jason advises emerging UK and European tech companies and leading investors on US venture financings and other corporate matters. As a US-qualified lawyer based in Orrick’s London office, Jason combines a unique understanding of US, UK and European market practices to guide clients through critical financial and commercial transactions.
Jason regularly advises early-stage companies on Delaware flips and works closely with founders and management teams to navigate multi-jurisdictional operational and governance issues. Through his expertise in cross-border transactions, Jason is able to translate parties’ needs to achieve successful outcomes.
Jason is also able to advise clients with a practical, 360-degree view through his previous experience as a commercial litigator. Jason’s prior practice included representing companies in class action, insurance, and trade secrets litigation, in regulatory proceedings, and in a variety of commercial disputes in US and international forums.

Mike's practice focuses on the representation of U.S. and international public and private high technology companies, as well as executives, management teams and founders with compensation and employee benefits issues in the context of M&A transactions, spin-offs, venture capital financings and IPOs.
Mike also advises on day-to-day tax, employment, accounting and securities law issues in connection with the design, administration and implementation of executive compensation and equity compensation arrangements, including employment agreements, severance arrangements, change in control carve-out plans, stock option plans and employee stock purchase plans with a particular focus on Code Sections 409A, 280G and 162(m). In addition, he advises on nonqualified deferred compensation arrangements, tax-qualified retirement plans and welfare benefit plans.Prior to practicing law, Mike was a Certified Public Accountant with Ernst & Young.

Justin focuses his practice on complex business transactions, including mergers and acquisitions, leveraged buyouts, reorganizations, recapitalizations and minority investments, as well as general corporate and securities law matters. Justin represents corporations, private equity firms and investors across a wide range of industries, including technology, media, entertainment, healthcare, food and beverage and apparel.

Kyle represents public and private companies and private equity funds in various domestic and cross-border mergers and acquisitions transactions on both the buy-side and sell-side. Kyle is also experienced in advising clients on representation and warranty insurance and venture financings. As part of Orrick’s fintech and artificial intelligence working group, Kyle analyzes and creates thought leadership on novel legal issues related to crypto, web 3.0 and artificial intelligence.
Kyle is passionate about Diversity, Equity & Inclusion. He serves as a leader on Orrick’s New York Diversity, Equity & Inclusion Committee and Orrick’s Asian, Native Hawaiian and Pacific Islander Inclusion Network.
