David Gold is a Managing Associate in the New York office and a member of the Mergers & Acquisitions and Private Equity Group.
David represents a wide variety of companies and focuses his practice on domestic and international mergers and acquisitions, joint ventures, and general corporate matters. His recent experience includes advising Shopify Inc. in the $17 million acquisition of Tictail, Inc. and Merck & Co. Inc. in its acquisitions of Cubist Pharmaceuticals Inc. ($9.5 billion) and Idenix Pharmaceuticals Inc. ($3.85 billion).
Neil has more than four decades of experience representing energy clients in complex equity and debt financings, project acquisitions and divestitures, and other significant corporate transactions. He has represented major project developers, equity investors and lenders in the independent energy industry, in the United States and internationally.
In recent years Neil has worked extensively on the development and financing of renewable energy projects involving wind, solar, biomass and fuel cells, and on alternative fuels projects in the ethanol industry. He has also worked extensively on the development and financing of conventional power generation facilities.
His corporate and financing experience has included representation of clients in syndicated bank financings, financings by multilateral and bilateral agencies, Rule 144A debt offerings, sale-leaseback financings, construction loans, formation of joint ventures and partnerships, equity investments, and the purchase and sale of equity interests in projects.
Internationally, Neil has represented sponsors of power projects and electric distribution companies in a number of countries including Brazil, Argentina, Jamaica, Honduras, Bangladesh, Nepal, Colombia, Turkey, the Dominican Republic and the People’s Republic of China.
Beth M. Goldman, a partner in Orrick’s San Francisco office, is a member of the Intellectual Property Group. Her practice focuses on trademark and copyright law, licensing, Internet law and advertising clearance.
She has been assisting clients in the selection and creation of brands, as well as their protection, for more than 20 years. Her experience includes worldwide prosecution and policing of trademarks, dispute resolution, UDRP proceedings and litigation before the Trademark Trial and Appeal Board. Her clients cover a variety of industries, including alternative energy, biotechnology, clothing, computer services, consumer products, credit card services, food and beverages, medical equipment, pharmaceuticals, software, and telecommunications.
She has spoken on trade dress for the Practising Law Institute on intellectual property, and on domain name and other issues for the International Trademark Association. She has served on various INTA committees.
Brian Goldman litigates high-stakes appeals in the U.S. Supreme Court and appellate courts around the country.
Every word counts in appellate litigation. With limited briefing and a short oral argument, lawyers have to summarize the complex facts and history of a case, help busy judges understand the intricacies of sometimes-unfamiliar areas of law, and then persuade the court why the judgment should be affirmed or reversed. Brian specializes in collaborating with clients and trial counsel to distill years of litigation and complicated fact patterns into compelling narratives that drive common-sense arguments.
Brian’s capabilities have proven particularly valuable in cases involving cutting-edge technologies. Brian has helped companies like Microsoft and Facebook set groundbreaking precedent on appeal by combining traditional legal arguments with finely tuned analogies that show how pre-internet-age laws should apply to novel circumstances. In addition to data privacy, Brian has represented companies and individuals in cases involving intellectual property, immigration, and general commercial disputes. Brian also maintains an active pro bono practice in the Supreme Court and Courts of Appeals.
In 2014, and again in 2017, the Ninth Circuit appointed Brian to three-year terms as an Appellate Lawyer Representative to the Ninth Circuit Judicial Conference. In that role, Brian co-authored The Appellate Lawyer Representatives' Guide to Practice in the United States Court of Appeals for the Ninth Circuit and created a "shell brief" for attorneys to use in preparing properly structured Ninth Circuit briefs.
Brian was named one of California's "Top 40 Under 40" in 2018 by the Daily Journal, and one of the country’s “Appellate Rising Stars” by Law360. He also won a California Lawyer Attorney of the Year Award for his work defending a local firearms ordinance against a Second Amendment challenge.
Prior to joining Orrick, Brian served as a law clerk to Justice Sonia Sotomayor and to Judge Stephen Reinhardt. He also served in the U.S. Department of Justice’s Civil Division, where he briefed and argued cases on appeal for the federal government. Before law school, he was a management consultant with McKinsey & Company.
As Chief Communications Officer, Jolie Goldstein leads the firm’s strategic communications programs. She works closely with firm management on internal and public relations initiatives and leads a team of media and other communications professionals.
Jolie also plays a leadership role in the firm’s client relationship program. She works with the firm’s relationship partners and client teams globally to ensure optimal communication, offer value added relationship benefits, and meet clients’ service and relationship expectations in the fast-changing legal market.
Jolie has more than 20 years of experience in law firm communications and business development. She began her career at the New York-based international law firm of Rogers & Wells, where she built the firm’s marketing and communications department and served on the senior team that orchestrated Rogers & Wells’ three-way combination with U.K.-based Clifford Chance and Germany-based Punder. As head of Business Development for the Americas Region at Clifford Chance, she led the rebranding of the Americas practice and collaborated with colleagues internationally to integrate the combined firm through the introduction of a global client relationship program and consistent, client-focused approaches to business development.
She is a competitive cyclist, a less competitive road runner and a novice mountaineer.
Howard Goldwasser has a broad range of transactional experience with a focus on structured finance and securitization of both traditional and non-traditional asset classes, including CDOs and CLOs, “marketplace” loans, credit card receivables, trade receivables, airline ticket receivables, drug royalty receivables and covered bonds.
His clients include investment banks, commercial banks, non-bank lenders, hedge funds and investment managers.
Howard is recognized as a market-leading lawyer in the U.S. CLO space. He has advised on the structuring of U.S. CLOs and CDOs since the emergence of the U.S. CLO and CDO markets in the mid-1990s. Post-financial crisis, he has been advising both arrangers and collateral managers in the “CLO 2.0” market that emerged in the years after the financial crisis. Howard has done pioneering work in the area of securitization risk retention, in particular with respect to the creation of so-called “CMVs” (capitalized management vehicles) and “C-MOAs” (capitalized majority-owned affiliates) designed to enable collateral managers to source third-party debt and equity to facilitate compliance with both the U.S.'s and the European Union's securitization risk retention rules. He is also an innovator in the area of CLO warehousing, where he has designed traditional and non-traditional warehousing programs for CLO arrangers.
Howard also represents banks and non-bank lenders on syndicated and bilateral financings, senior secured term loan financings, receivables and asset-based financings, in particular, financings related to the warehousing of financial assets for securitization.
David Gomez is an associate in the Complex Litigation & Dispute Resolution group of Orrick’s Orange County office. David handles high-stakes, complex litigation in federal and state courts across the country.
David's practice spans across all stages of the litigation process and covers a wide range of practice areas, including class action, intellectual property, and general commercial litigation matters.
David graduated from Harvard Law School in 2014. Prior to joining Orrick, David practiced in the Los Angeles office of a large international law firm.
Douglas Goodfriend, a New York Public Finance partner, has extensive experience in municipal general obligation financings for various New York counties, cities, towns, villages, school districts and fire districts.
He frequently serves as bond counsel to municipal issuers participating in the financing programs of the New York State Environmental Facilities Corporation and the grant and loan programs of the Rural Development division of the United States Department of Agriculture.
Douglas' specialized areas of New York municipal law interest include open spaces programs and financings, town and county improvement district formation, consolidation and improvement, innovative lease-purchase financings, bond resolution referendum law, village local improvement programs and the drafting of local laws and propositions, as well as state legislation on behalf of clients.
Douglas is a frequent speaker at municipal professional organizations on local finance law, federal securities law and federal tax matters affecting municipal debt issuance.
Julie Gorchkova is a managing associate in the New York Office and a member of the Complex Litigation and Dispute Resolution practice group.Ms. Gorchkova has represented a wide range of clients in federal and state trial and appellate courts, mediations and arbitrations in matters involving complex contractual disputes, federal securities laws, lender liability and debtor defense litigation, enforcement of notes and guarantees, fraud and other business torts, shareholder disputes and derivative litigation, commercial foreclosures, consumer fraud, broker-dealer disputes and judgment enforcement. She also has significant experience representing clients in bankruptcy-related litigation.
Rosie Gorn is an associate in the General Litigation group of Orrick's San Francisco office.
Rosie represents corporate clients and individuals in state and federal courts in various commercial matters, including white collar criminal defense and complex civil litigation.
While a law student, Rosie served as Editor-in-Chief of the American Criminal Law Review, Vol. 54 at the Georgetown University Law Center.
David Gotsill, a real estate finance lawyer, assists domestic and international investors in the structuring, financing, acquisition and disposition of real property interests.
As a member of our real estate team, David uses his knowledge of the Japanese real estate laws and market practice to ensure foreign clients achieve transaction terms which track closely to an international standard. Fluent in Japanese, he assists clients in negotiating financing and collateral from local financing institutions.
David also has experience representing international equity investors and developers in the acquisition, financing and development of solar and wind energy projects.
F. Susan Gottlieb, Of Counsel in the New York office, is a member of the firm's Public Finance Department and its leading Public Power Group.
She is extremely knowledgeable in all aspects of municipal and corporate finance with a particular emphasis on financings for public power projects and rural electric cooperatives. She has spent the bulk of her career working on both tax-exempt and taxable financings for public power clients including joint action agencies, municipal utilities and rural electric cooperatives. She has had many roles in these financings including bond counsel, counsel to the underwriters and company counsel.
Over her career she has worked on financings for joint action agencies and municipal utilities such as the Alabama Municipal Electric Authority, the Florida Municipal Power Agency, Gainesville (Florida) Regional Utilities, JEA, the Massachusetts Municipal Wholesale Electric Company, MEAG Power, Southern Minnesota Municipal Power Agency, Michigan Public Power Agency, Western Minnesota Municipal Power Agency and WPPI Energy. She has participated in financings for some of the largest generation and transmission cooperatives in the United States including Basin Electric Power Corporation, Big Rivers Electric Corporation, Dairyland Power Cooperative, Great River Energy, Hoosier Energy Rural Electric Cooperative, Oglethorpe Power Corporation and Seminole Electric Cooperative. The transactions in which Susan has participated have included public offerings, private placement and 144A financings, system and project financings, tax-exempt and taxable financings, secured and unsecured debt, senior and subordinated debt, fixed rate and variable rate debt and derivatives and she has had extensive experience in drafting documents for all of these types of financings.
In addition, she has considerable experience with all types of disclosure issues encountered by electric utilities. Her public-power clients have included the Florida Municipal Power Agency, the Gainesville (Florida) Regional Utilities District, the Massachusetts Municipal Wholesale Electric Company, Southern Minnesota Municipal Power Agency, and the Michigan Public Power Agency.
