Marcus focuses his practice on assisting clients in taxable and tax-exempt public finance matters, including general obligation debt issuances, revenue-backed financings and lease purchase transactions, among others.
His experience includes the representation of school districts, municipalities, counties, junior colleges, universities, special authorities and other political subdivisions in a variety of roles, including bond counsel, disclosure counsel and issuer’s counsel. In addition, he regularly represents underwriters and purchasers of both public and privately placed debt, regularly serving as underwriters’ counsel and bank counsel.
Complementary to his core practice, Marcus is also able to provide his clients guidance on derivative transactions and liquidity facilities, election law matters, and municipal and school law issues.
Before joining Orrick, Marcus clerked for the Colorado Court of Appeals and subsequently practiced as an associate and then a partner with several international law firms.
Jose DeJesus is a paralegal in the Finance Business Unit and the Public Finance practice group. He has participated in financings in which the firm has served as bond counsel, underwriter’s counsel and borrower counsel for various tax-exempt and taxable municipal and project financings. He works mainly for the Energy and Infrastructure Group. His duties include preliminary drafting of documents and UCC financing statements, preparation for and assisting with closings as well as post-closing matters. He has been with the firm since 1995 and has been working as a paralegal since 1984.
Nicolò Del Dottore is a Senior Associate at Orrick and member of the Finance team.
He focuses on structured finance transactions, financings, debt restructuring, assignment and factoring of receivables mainly due by public bodies. In particular, he gained a significant expertise on securitization and covered bonds transactions.
He is also an expert in public finance on which advises domestic and international banks in relation to finance transaction with public entities.
Graduated with honors at the University of Siena, he gained a LL.M at the London School of Economics and Political Science (LSE).
Kayla Delgado is a lawyer in Orrick’s San Francisco office where she is a member of the Employment Group.
Kayla has experience litigating a variety of employment claims in both state and federal court, including trade secrets, discrimination, harassment, retaliation, and wrongful termination claims.

While in law school, Kayla participated in Berkeley Law’s Death Penalty Clinic, a clinic designed to enable law students to provide high-level, supervised representation to clients facing capital punishment. Through her work in the clinic, Kayla received hands on experience in appellate litigation and investigations.
Michael Delikat, a partner in the New York office, serves as Chair of Orrick’s Global Employment Law Practice, which has employment law teams in the European Union, Asia as well as the United States.
He also is the founder of the firm’s Whistleblower Task Force. He previously served as the Managing Director of Orrick’s Litigation Division.

He represents a broad range of major corporations in all facets of labor and employment law. Mike has an active trial, arbitration and appellate practice and handles a number of high-visibility class action and impact cases. Mike has extensive experience with litigation arising from trade secret misappropriation and the enforcement of post-employment restrictions, EEOC systemic investigations and litigations, wage-and-hour collective actions and other class actions based on gender and race, with particular expertise representing companies in the financial services industry.
Marco Dell'Antonia, a partner in the Milan office, is a member of the European Corporate Group. Marco has a specific experience in local and cross-border M&A transactions, commercial contracts, general corporate and corporate governance.
He advises primary Italian and international banks, financial institutions and major Italian and multinational corporations, working on complex corporate transactions including banking, industrial and manufacturing clients.
Marco's expertise is recognized by Italian and international clients in the field of corporate governance in general and in particular in the application of the Italian Legislative Decree 231/01 relating to the criminal liability of legal entities deriving from specific crimes identified by the decree.
Marco assists or is member of a substantial number of Vigilance Bodies of companies (also listed and regulated).
Marco is scientific coordinator of the legal area of NIBI - Master in Business Internationalization promoted by Camera di Commercio di Milano (Chamber of Commerce of Milan); he is a regular lecturer of the Master in Law organized by Il Sole 24 Ore Business School and of the Master "Corporate Counsel" organized by LUISS Business School; he has been adjunct professor at the IULM University in intellectual property law until 2009 and competition law until 2012.
He is member of the Board of the Association of the Members of the Vigilance Bodies pursuant to Italian Legislative Decree 231/2001.
Prior to joining Orrick, Marco developed his experience in international M&A transactions at Studio Legale Associato Laghi & Tabacchi in Treviso.
Concetta Pia dell'Aquila is an Italian qualified lawyer and a member of Orrick's Commercial Litigation Group, based in the Rome office. She specializes in sophisticated employment law and social security litigations, advising major multinationals and domestic corporate.
With a solid corporate background, Concetta advises on labour law issues related to M&A transactions, as well as individual and collective employee layoffs, dismissals and mobility procedures connected to CIGS and CIGO.
In 2011, she gained a Master's Degree in "Labor Law and Social Security" a the University of Rome "La Sapienza".
Prior to join Orrick, she spent six years in advising a major Italian trade unions.

Karen Dempsey, a partner in Orrick's San Francisco office, is a member of the Corporate Group. She works with a broad range of public and private companies, venture capital firms and investment banks.
Karen is involved in a full range of corporate legal projects for high growth technology companies including venture financings, public offerings, public company securities law compliance matters and mergers and acquisitions. She also regularly advises public companies and board of directors on corporate governance issues. Karen's clients include private and public companies in the biotechnology, real estate, finance and Internet related industries. She also represents underwriters in initial public offerings and follow-on offerings and venture capital firms in investment transactions.
Karen is a frequent speaker on corporate and securities law topics including Initial Public Offerings, Corporate Governance and Sarbanes-Oxley matters. She is also Co-Editor of Part III of Venture Capital & Public Offering Negotiation, published by Aspen Law & Business.
Before joining Orrick, Karen was a shareholder at Heller Ehrman LLP and was chair of their firmwide corporate governance practice group.
Ed Denny is head of Orrick’s London tax department. Ed supports domestic and cross-border corporate and finance practices. He focuses on the tax aspects of corporate finance transactions and structures, including mergers and acquisitions of public and private companies. Ed has a particular interest in international tax issues and the technology sector.
Ed was selected by Tax Journal as one of its "40 under 40" list of the UK’s leading young tax practitioners, and has undertaken secondments in the past with the international tax groups at HSBC and Vodafone. Ed advised Canal+ on the sale of its interest in Poland's TVN group which was awarded 2016 European Joint Venture Tax Deal of the Year at International Tax Review's European Tax Awards.

Annalisa Dentoni-Litta is a partner with the Finance team and is based in the Rome Office. She has wide experience in structured finance, securitizations and covered-bond transactions with a focus on public finance and Italian local public entities.
Her structured finance experience includes advice to arrangers, issuers and originators in relation to a number of public and private securitizations, both domestic and cross-border, as well as receivables purchase transactions, involving various types of receivables, including RMBS, consumer loans, healthcare receivables, tax and trade receivables.
She assists on several covered-bond programmes established by Italian banks.
