Vanessa is a managing associate in Orrick's Houston office and a member of the Energy and Infrastructure Group. Her practice focuses on project finance, project development, domestic and cross-border mergers and acquisitions, and joint ventures for clients in the energy and infrastructure sectors.

Vanessa has experience working in-house within the upstream oil and gas industry and Latin America. Prior to joining Orrick, Herrington & Sutcliffe LLP, she worked in Mexico City for a large multi-national oil and gas manufacturing company, overseeing compliance and other operational matters for the company's Latin America headquarters. Her international experience includes work in Mexico, Argentina, Colombia, Ecuador, Jamaica and Belize. She is a native Spanish speaker and proficient in French and Italian.

  • Financings

    • Represented Sabine Pass LNG in the $4.6 billion construction and term loan financing of its fifth export liquefaction train.
    • Represented Sabine Pass LNG in the $1.2 billion revolving and letters of credit facility for its five export liquefaction trains.
    • Represented a multilateral financing institution and a regional financial institution in Guatemala in the financing and development of a sugar facility in Belize.
    • Represented a multilateral financing institution in the $112 million credit facility to a hotel company in connection with the construction and development of a hotel in Jamaica.

    Joint Ventures

    • Represented a wind developer in the 50/50 joint venture with Algonquin Power and Utilities for the approximately $300 million Deerfield wind project in Michigan.

    Acquisitions and Dispositions

    • Represented a private equity firm in connection with the divestiture of wind energy assets in Texas.
    • Represented private equity company in the acquisition of wind & solar energy projects in Hawaii, the UK, Illinois and Texas.

    Capital Markets

    • Represented underwriters in large public energy company’s initial public offering in connection with oil and gas assets in the Gulf of Mexico and onshore US.  

    Engineering, Procurement and Construction Contracts

    • Represented owner in the turnkey EPC Contracts for an approximately 324 MW wind farm located in New Mexico and Texas.
