Emerging Companies
Orrick is one of the premier legal advisors for emerging companies. We offer our clients:
Today’s emerging companies combine energy and innovation with a focus on long-term growth and success. Our multidisciplinary team of lawyers merges deep experience and commitment to high-growth businesses with a broad global platform that scales with our clients as they grow.
Experience
Orrick represents more than 1,000 emerging companies worldwide, so we understand how to help your business with its most critical legal needs. Our clients include: 8 companies listed in GreenTech Media's Top 50 Greentech Startups; 5 of The Wall Street Journal's Top 50 Venture-Backed Companies; 5 of BusinessWeek's 50 Best Tech Start-Ups; and numerous members of the Red Herring 100, AlwaysOn Media 100, OnHollywood 100 and GoingGreen 100.
We have acted as company counsel in one of the largest venture capital financings in each year since 2006: Nanosolar's US$75 million financing in 2006, Advent Solar's US$70 million financing in 2007, Nanosolar's US$300 million financing in 2008, Suniva's US$75 million financing in 2009, and BrightSource Energy's US$150 million financing and Fisker Automotive's US$189 million financing in 2010.
Focus
Orrick is dedicated to counseling emerging technology and life sciences companies, as well as the venture capital and investment banking firms that serve them. Our Emerging Companies Group includes members of the founding team of Venture Law Group, a pioneering law firm in the Silicon Valley, and our roots in the emerging companies practice stretch back over 25 years.
Leveraging our depth of experience and familiarity with the needs of emerging companies, in 2009, we launched Orrick's Start-Up Tool Kit - a set of free resources for the emerging company and investor community. Orrick's Start-Up Tool Kit features a term sheet creator, an electronic forms library, and the TOTAL ACCESS series of instructional and networking events.
Formative Counseling
Orrick lawyers provide world-class strategic advice to emerging companies and their founding teams with respect to corporate structure, founder's agreements, employment law matters, stock options, executive compensation and best practices for working with boards of directors. Understanding the needs of emerging companies, Orrick offers flexible fee arrangements in the early-stage.
Network
Orrick’s relationships create a network of resources for clients. Our lawyers have relationships with more than 100 venture capital firms that have funded our clients. But the network doesn’t stop there; Orrick lawyers have strong ties with many investment banks and accounting firms, national laboratories, universities, private equity funds and public companies. We leverage our network to help our clients advance from one stage to the next.
Scale
It is no accident that Orrick represents a broad spectrum of public companies on corporate matters—many of them were clients long before their initial public offerings. Orrick lawyers understand how to scale with companies that start in the "garage" and end up on NASDAQ.
We are one of the few full-service firms with a significant presence on both U.S. coasts and in Europe and Asia, and Orrick’s offices around the world ensure that our services can scale as our clients grow globally.
Resources
Our clients look to us to be more than just corporate counsel. We also provide emerging companies with critical services related to other areas of law. Orrick boasts several destination practices, including mergers and acquisitions, intellectual property counseling and due diligence, technology transactions, employment law, compensation and benefits, tax, and securities litigation.
