The following representative engagements provide a summary of the scope and diversity of the employment and benefits practice in our Tokyo office:

  • Assisting a major US life insurance group in negotiating the hiring (and related documentation) of its President in Japan in the context of a complex joint venture situation in Japan with a large Japanese financial group.
  • Assisting a major US inter-dealer brokerage company in enforcing fixed-term contracts and post-termination non-competition covenants against its top brokers.
  • Assisting a major US retailer on all aspects of its audit of overtime policies and practices in the context of LSO inspections.
  • Advising a major luxury-brand Italian company on all the employment and benefits aspects related to its acquisition of a majority controlling stake in a Japanese joint venture company, helping the client to secure the transfer of all key employees and drafting the new work rules and other HR regulations of the acquired company.
  • Advising a major U.S. life insurance company on the validity of its proposed employee referral program.
  • Advising a major U.S. financial group on the Japanese dismissal and discrimination laws of a U.S. litigation brought by a former executive transferred to one of its Japanese joint-venture companies.
  • Representing a U.S. high-tech company in the negotiation of a delicate dismissal and settlement arrangement with the Representative Director of its Japanese subsidiary.
  • Assisting a leading listed Danish technology company in various dismissals and reduction-in-force plans of its Japanese subsidiaries.
  • Representing one of the largest European luxury and cosmetics group in labor and employment matters related to it activities in Japan, in particular, structuring the Japanese components of its world-wide profit sharing program and setting up an innovative scheme of obligations, including post-termination non-competition covenants, for key executives of the Japanese subsidiary.
  • Assisting one the largest UK life insurance companies in its employment and labor matters in Japan, in particular, in negotiating an important consulting agreement with an independent consultant in the field of variable annuity.
  • Assisting a major French investment bank in structuring sophisticated guaranteed ESOP product for Japanese institutional investors.
  • Assisting several major foreign corporations and financial institutions in relation to staff reorganizations, employee transfers in the context of corporate restructurings and spin-offs, individual dismissals, service agreements for senior executives, sexual harassment claims and other employment and labor matters.
  • Advising buyers in mergers and acquisitions in employment issues due diligence, drafting due diligence memoranda for buyers, advising and structuring transfer of key employee, possible termination and down-sizing matters, harmonization of work rules and HR matters with the target company.
  • Assisting several international corporations and financial institutions, including banks and insurance companies, in connection with structuring and implementing incentive compensation plans, international employee share and stock option plans and offerings in Japan.
