As part of Orrick’s broad-based commercial and institutional finance practice, we assist clients in transactions ranging from traditional credit agreements to capital markets transactions and complex cross-border lease financings. Our practice regularly involves transactions such as secured and unsecured lending, asset-based financing, letters of credit, derivatives, asset-backed commercial paper financings, lease finance and the restructuring and workouts of troubled credits.

We have acted on behalf of lenders, arrangers, agents and export credit agencies on a range of pre-export, trade and commodities finance transactions.

We also have extensive experience in real estate finance representing clients across a broad range of real estate investment, development, financing and structuring transactions. This ranges from real estate fund formation through senior and mezzanine financing structures to acquisition financing and commercial and residential mortgage securitisation.

Recent transactions in which Orrick lawyers have played major roles include advising:

  • Deutsche Bank, involving the establishment of the first credit derivative product company (CDPC) in Europe and only the fourth worldwide. The transaction enabled Deutsche Bank to further expand its activities in the rapidly growing credit default swap market. The NewLands Financial CDPC was capitalised at more than US$500 million and over time is expected to have in excess of US$30 billion notional exposure to the credit default swap market. The CDPC received AAA ratings from both Moody's and Standard and Poor's.
  • The legal team at Calyon Financial in respect of reviewing the establishment of carbon credit brokerage operations. Orrick has an excellent reputation in green credit derivatives.
  • Corgi International Ltd. in relation to approx US$39.3 million in debt and equity, allowing the client to execute growth plans.
  • Prestige Finance Ltd. in relation to £50m revolving term loan facility to assist origination by Prestige Finance of customer loans and acquire pool loans in accordance with loan criteria.
  • AMB Property L.P. on the financing aspects of the launch of a new pan-European fund, AMB Europe Fund I FCP-FIS.
