Critical Employment Law Issues for Companies Doing Business in Japan

The relationship between employers and employees is constantly changing, in large part due to the growing complexity of employment law and the globalization of the work force. With employment litigation in Japan significantly increasing in recent years, it is essential for leading businesses to not only develop and implement employment law policies and practices that will allow them to react to the demands of their industries and reduce legal risk, but also to carefully consider employment law issues in strategic transactions. In Japan, employment related issues that arise in the course of a merger, acquisition or other strategic transaction are generally governed by the rules of ordinary employment law. In this seminar, first, we will look closely at the employment law issues that companies face in a variety of corporate transactions such as mergers and acquisitions and in responding to market conditions, including reductions in the workforce and changing the working conditions and compensation and benefits of employees. This discussion will also be useful for companies considering an internal restructuring. Next, we will examine employment law such as unpaid overtime, which is currently subject to increasing lawsuits in Japan, and undertake a general examination of the scope of the duty not to compete and duty to maintain trade secrets, both in the context of corporate transactions and the day-to-day operation of businesses in Japan.
