Catherine Brizhik, resident in the Washington, D.C. office, is a member of the Corporate Group. Ms. Brizhik has extensive experience advising U.S. and European multinationals on a wide variety of corporate transactions in Russia, including mergers and acquisitions, joint ventures, corporate reorganizations, public and private financings and corporate governance issues, with a particular focus on the telecommunications sector and Russian securities transactions, including open and closed offerings, exchange offers, mergers and reorganizations.
Ms. Brizhik's notable engagements include advising:
- a European telecommunications company on its investment in a NYSE-listed Russian mobile operator, including the statutory merger of the Russian mobile operator with its primary subsidiary and the provision of a convertible secured bridge loan to the Russian mobile operator;
- a Canadian company in a secured financing transaction with a Russian lumber mill and
- a European telecommunications company in connection with the restructuring of its investments in Russia, including its acquisition of 100% of a Russian competitive local exchange carrier (CLEC) and the subsequent exchange of such shares for a stake in a U.S. publicly traded telecommunications company active in Russia as well as the sale of its stake in various Russian regional mobile operators.
Prior to joining Orrick, Ms. Brizhik was a Senior Associate at Coudert Brothers in St. Petersburg, Russia (1998-2002) and Washington, D.C. (2002-2005). In 2001-2002, Ms. Brizhik acted as Head of Office for Coudert Brothers' St. Petersburg office.
