Cutting Edge Technology Development to Assist those in the Developing World

​A cross-office and cross-practice group transactional team is representing the Lawrence Berkeley National Laboratories’ Institute for Globally Transformative Technologies in its start-up work.  The putative corporation seeks to develop and bring to market technologies invented at the federally funded Lawrence Berkeley National Laboratory, part of the University of California-Berkeley campus, that can solve development and social problems around the world.  The Orrick team is advising on corporate and tax structuring around the entities to be established, including a 501(c)(3) nonprofit that is independent from LBNL and a tandem or subsidiary for-profit company that will bring in investors and hold equity in a series of technological innovations to benefit the developing world. 

The team consists of San Francisco tax partners Eric Wall and Chas Cardall, San Francisco M&A and private equity partner Dolph Hellman, San Francisco senior corporate associate Amanda Galton, Silicon Valley intellectual property associate James Freedman and pro bono fellow Eliza Golden.
