Virginia Pearcy, a senior associate in the San Francisco office, is a member of the Corporate Group. Her practice focuses on the representation of public and private companies in a variety of complex commercial transactions, including the following:
- Technology Development & Licensing, including the negotiation and preparation of patent, copyright and software licenses, complex development and license agreements, manufacturing agreements, distribution agreements, value added reseller (VAR) agreements, nondisclosure and confidentiality agreements, application service provider (ASP) agreements, marketing agreements, intellectual property assignments, professional services agreements and consultant agreements.
- Corporate Finance, including the negotiation and preparation of angel, venture capital and strategic investor financing documents, private placement memoranda, merger agreements, asset purchase agreements, public offering documents, secured and unsecured loan agreements, partnership agreements and limited liability company agreements.
Ms. Pearcy earned her J.D at age 20. She has taught Business Law at Sacramento City College.
In her spare time, Ms. Pearcy enjoys running and training for road races of distances from 5K to the marathon.
